Syndicate Legal Advisory Services prepares written residential purchase and sale agreements from terms the buyer and seller tell us they have already agreed on.
What’s included:
- Jurisdiction table check. Using our state table, we give the client the state’s published rules on who may prepare a purchase contract, required forms, mandatory disclosures, agency disclosure, earnest money rules, closing practice (escrow or attorney), and recording.
- Intake and information gathering. A structured questionnaire records the client’s own statements: both parties’ names and addresses, the property’s address, parcel number, and county, how title is currently held, whether the property is owner-occupied, tenant-occupied, or vacant, the HOA name if any, and whether a broker or agent is involved on either side.
- Legal description organizer. We copy the legal description from a recorded deed, title report, or tax record the client supplies, and match it to the address and parcel number.
- Agreed-terms worksheet (both parties). Each party completes and signs a worksheet stating, in their own words, the terms they have agreed on: price, earnest money amount and holder, financing or cash, the closing date, possession date, included and excluded fixtures and personal property, inspection and other contingencies and their stated deadlines, who pays which fees and costs, and any other term.
- Agreement preparation. From the signed worksheet, we prepare the agreement on the state’s required or customary form with the terms stated as the parties wrote them.
- Seller disclosure forms (seller’s statements). We prepare the state’s required disclosure forms (for example, a transfer disclosure statement or property condition disclosure, and the lead-based paint disclosure for pre-1978 homes) from the seller’s own answers, exactly as stated, and the seller signs.
- Earnest money and escrow information. We give the parties the state’s published information on escrow or closing attorney practice and neutral instructions for opening escrow or choosing a closing attorney, who handles the funds. We do not hold, receive, or transmit earnest money or closing funds.
- Deadline record (parties’ stated dates). We record the dates the parties state for each contingency and the closing date and give each party a neutral written notice that deadlines can waive rights or forfeit deposits.
- Signing packet. Signature pages and any witness or notarial blocks the state requires. Each party signs personally. We do not sign, witness, or notarize.
- Document organizer. We organize the parties’ own documents (deed or title record, disclosures, inspection reports the parties choose to include, HOA documents, tax bills, mortgage payoff information, and correspondence) into a labeled file, without interpreting them.
- After-signing checklist. A neutral list from public guidance of the steps that follow: opening escrow or engaging a closing attorney, title report, inspections, appraisal, financing, closing, deed recording, and possession.
- Review and revisions. We make revisions you request to the typed documents before signing, within your review rounds, only where both parties confirm the change in writing.
