Syndicate Legal Advisory Services prepare written construction and development documents for commercial real estate projects.
What’s included:
- Intake and information gathering. A structured questionnaire collects each party’s name, entity information, and contractor license number (where applicable), the property address and legal description (supplied from your title report or deed), the scope of work, the contract price or pricing method, the schedule, and the terms you select on each topic below.
- Owner-contractor agreement from your selections. We prepare the construction agreement from the provisions you choose, which may include:
- Scope of work and reference to plans and specifications you supply
- Contract price (lump sum, cost-plus, or unit price) and payment schedule
- Retention, progress payments, and final payment
- Start date, completion date, and delay remedies, as selected
- Change order procedures
- Insurance, bonding, and indemnity terms, as selected
- Warranty and defect-correction terms
- Termination, suspension, and default provisions
- Dispute resolution terms, such as mediation before litigation
- Subcontractor and vendor agreements (optional). At your direction, we prepare subcontracts, material supply agreements, and independent contractor agreements for specific trades, from terms you supply.
- Professional services agreements (optional). From terms you supply, we prepare agreements with architects, engineers, and consultants, and a project management or owner’s representative agreement.
- Change orders and project forms. We prepare change order forms, requests for payment, schedules of values, notices to proceed, punch-list forms, and certificates of substantial completion, using information you provide. We do not determine whether a change is warranted or priced correctly.
- Statutory lien waiver forms. At your direction, we complete the statutory conditional and unconditional waiver and release forms for progress and final payments, entering the payment amounts, dates, and parties you supply.
- Preliminary notices and project notices (optional, limited). From facts you supply, we prepare the preliminary notice (20-day notice) and routine project notices, using the statutory form. We do not decide who must give notice, calculate deadlines, or advise on whether a notice is required.
- Development-stage documents (optional, higher-tier). From terms you supply, we prepare a development agreement between co-developers, a letter of intent, a site access or entry agreement, and a notice of completion or notice of cessation from facts you supply.
- Execution and recording documents. We prepare signature blocks, notary acknowledgments where used, and written signing instructions. Where a document must be recorded, we prepare it from a client-supplied legal description and a recording cover letter.
- Review and revisions. We make revisions you request to the drafts before signing, within the number of review rounds included in your package.
