Regulation Crowdfunding (Reg CF) Offering — Form C Offering Memorandum and Subscription Document Preparation

Syndicate Legal Advisory Services prepares the complete legal documentation package required to conduct an offering of securities under Regulation Crowdfunding (Section 4(a)(6) of the Securities Act and Regulation Crowdfunding, 17 C.F.R. Part 227) through a registered funding portal or broker-dealer intermediary. Working alongside the company’s management, its accountants, and the intermediary, we draft, assemble, and organize every document the SEC, the intermediary, and investors require — the Form C offering statement and its offering memorandum, the subscription agreement and securities terms, the intermediary and escrow documentation, and the communications and ongoing-reporting framework — so the offering is filed complete, internally consistent, and ready to launch.

Scope of work includes:

  • Offering structure and eligibility analysis — written assessment of the company’s eligibility to use Regulation Crowdfunding (the issuer-eligibility exclusions for reporting companies, investment companies, blank-check companies, and issuers delinquent in prior Reg CF reporting), the offering amount against the twelve-month aggregate cap, the choice of security (common stock, preferred stock, a crowdfunding SAFE or convertible note, or revenue-share or debt instruments), whether to offer through a crowdfunding vehicle under Rule 3a-9 to consolidate investors, the interaction with any concurrent Regulation D or Regulation A offering, and the financial-statement tier the offering amount triggers (certified, reviewed, or audited), with a memo identifying the structure and the preparation sequence.

  • Form C offering statement — preparation of the Form C for filing on EDGAR, including every disclosure item Rule 201 requires: the company’s business, officers and directors and their prior experience, ownership and capital structure, the target offering amount and deadline, the oversubscription and allocation method, the use of proceeds, the offering price and its determination, the terms of the securities and the risks of ownership, related-party transactions, material indebtedness, prior exempt offerings, the intermediary’s compensation, and the risk factors; the Form C/A amendments for material changes and the Form C-U progress updates at the required milestones.

  • Offering memorandum — drafting of the offering memorandum attached to the Form C as the investor-facing disclosure document, organized in the question-and-answer format the SEC’s Form C instructions contemplate or in a narrative format, covering the business and strategy, the management team, the market and competition, the financial condition discussion and the financial statements in the required tier, the securities and their terms, dilution, the risks of the offering and the company, transfer restrictions and the resale limitations under Rule 501, the investor limitations under Rule 100, and the company’s ongoing-reporting obligations and the conditions under which they terminate.

  • Securities terms and governing documents — the instrument creating the offered security (the crowdfunding SAFE or convertible note, the certificate of designation for preferred stock, or the amended charter provisions for a new class of common stock), the proxy, drag-along, information-rights, and voting provisions typically built into crowdfunding securities, the crowdfunding vehicle’s organizational documents where one is used, and the board and shareholder resolutions authorizing the offering and the securities.

  • Subscription agreement and investor documents — the subscription agreement conforming to the intermediary’s platform process, including the investor representations on income, net worth, and investment-limit compliance, the acknowledgment of the educational materials and cancellation rights under Rules 302 and 304, the risk acknowledgments, the transfer-restriction acknowledgment, and the signature mechanics; the investor questionnaire; the accredited-investor verification materials where the company intends to rely on unlimited accredited participation; and the confirmation and closing notices the intermediary requires.

  • Intermediary and escrow documentation — the intermediary engagement agreement with the funding portal or broker-dealer, the fee and compensation disclosures, the escrow or qualified-third-party arrangements for holding investor funds until the target is reached, the cancellation and refund mechanics, and the data and record-keeping arrangements.

  • Communications and advertising framework — the offering-notice (“tombstone”) template permitted under Rule 204, the communications procedures for the intermediary’s platform channel, the testing-the-waters materials under Rule 206 and the required legends, the promoter-compensation disclosures under Rule 205, and a social-media and press policy conforming to the advertising limits, with a legend set for each channel.

  • Compliance procedures — the bad-actor disqualification questionnaires and certifications for the company’s covered persons under Rule 503, the investor-limit tracking procedures, the twelve-month aggregation tracking across offerings, the Section 12(g) conditional-exemption monitoring under Rule 12g-6 (including the record-holder and asset thresholds and the transfer-agent requirement), and the state notice-filing schedule where applicable.

  • Financial-statement coordination — coordination with the company’s accountants on the certification, review, or audit the offering tier requires, the principal executive officer certification for the lowest tier, and the presentation of the financial statements and the financial-condition discussion in the Form C.

  • Closing and post-offering documentation — the closing checklist, the issuance of securities and updating of the capitalization table and stock ledger, the Form C-U final progress update, and the post-offering compliance toolkit: a calendar and template set for the Form C-AR annual report, the conditions for terminating reporting and the Form C-TR, the Rule 501 resale restrictions and their expiry, investor communications, and the integration of Reg CF investors into the company’s governance and information processes.

Deliverable: a fully assembled, indexed offering binder (electronic and hard copy) containing the EDGAR-ready Form C and exhibits, the offering memorandum, the executed securities instrument, the subscription package, the intermediary and escrow agreements, the communications templates and legend set, and the compliance procedures, with a filing checklist and a reviewer-ready version of each document for execution by the company’s officers.

Engagement structure: flat-fee document preparation, scoped by offering size (and therefore financial-statement tier), security type, whether a crowdfunding vehicle is used, and whether a concurrent exempt offering is run, with milestone billing tied to the structure memo, the Form C and offering memorandum drafts, the subscription and securities package, and the EDGAR filing.
