Syndicate Legal Advisory Services prepares the complete legal documentation package required to list a company’s shares, or depository receipts representing them, on SIX Swiss Exchange under the International Reporting Standard, the Standard for Depository Receipts, or the Sparks segment, by way of a primary listing or a secondary listing. Working alongside the company’s management, the recognized representative who submits the application, the lead manager and underwriting syndicate for a Swiss offering, the auditors (who must be a state-supervised audit firm or a recognized foreign equivalent), and the company’s Swiss paying agent and share registrar, we draft, assemble, and organize every document SIX Exchange Regulation and the prospectus review body require — for an initial public offering in Switzerland, a direct primary listing, a secondary listing by a company already listed in the United States, a Sparks listing by a growth company, or a transfer from Sparks to the main market — so the application is submitted complete, internally consistent, and ready for review.

Scope of work includes:

  • Pre-application and listing-standard analysis — written assessment of the company against the SIX Listing Rules’ admission requirements (track record, reported equity capital, free float, and capitalization of free float, with the reduced thresholds and the alternative track-record conditions for Sparks), the eligibility of the company’s U.S. listing as a primary listing recognized for a secondary listing, the choice between a direct share listing and depository receipts given Swiss settlement and registered-share considerations, and the consequences of a primary listing for a foreign company (including the application of the Swiss disclosure-of-shareholdings and takeover regimes), with a gap memo identifying the achievable route and what must be addressed before filing.

  • Listing application package — preparation of the listing application for submission by the recognized representative, the issuer’s declaration and the recognized representative’s declaration under the Listing Rules, the application for admission to the chosen regulatory standard, the free-float and capitalization confirmations, the SIX SIS eligibility and settlement confirmations, the securities-number and ISIN allocation, the official notice of listing, and all supporting exhibits in the form SIX Exchange Regulation requires.

  • Prospectus under the Financial Services Act — drafting and coordination of the FinSA prospectus for approval by the prospectus review body (SIX Exchange Regulation’s prospectus office), including the summary, the Swiss-specific disclosure requirements, the auditor’s confirmations, and any supplements; the documentation relying on FinSA exemptions for a secondary listing or a listing with no public offer, including recognition of a prospectus approved by a foreign authority where available; and the Swiss selling restrictions for the offering documents.

  • U.S. securities law coordination — Regulation S structuring for a Swiss or European placement, confirmation that the listing creates no new Securities Act or Exchange Act registration obligation, conforming disclosure in the company’s U.S. periodic reports, and reconciliation of the Swiss and U.S. disclosure timetables so that one event is announced consistently in both markets.

  • Corporate governance and constitutional documents — board and shareholder resolutions authorizing the listing and any offering; charter or bylaw amendments the listing requires; for a primary listing, the documentation of the company’s governance arrangements against the SIX Directive on Information Relating to Corporate Governance (which applies to foreign primary-listed issuers), the related disclosure in the annual report, and the compensation disclosure the directive requires; and the registered-share and share-register arrangements the Swiss market expects.

  • Ad hoc publicity, management transactions, and shareholdings compliance — ad hoc publicity procedures under the SIX Directive on Ad hoc Publicity, management-transaction reporting under the SIX directive, the disclosure-of-shareholdings regime under the Financial Market Infrastructure Act (FinMIA) for primary-listed companies and the corresponding notification obligations of significant shareholders, the Swiss takeover regime’s application to a foreign primary-listed company (including any opting-out provision the company may adopt), insider-trading and market-manipulation compliance under FinMIA, and integration with the company’s U.S. Regulation FD, Section 16, and Schedule 13D/13G procedures.

  • Settlement, registrar, and depositary documentation — SIX SIS custody and book-entry arrangements, the Swiss share registrar and paying-agent appointments, the mechanism for transferring shares between DTC and SIX SIS for a dual-listed company, and, for a depository receipt structure, the deposit agreement, the depositary bank’s terms, and the Standard for Depository Receipts requirements.

  • Exchange and regulator correspondence — preparation of responses to SIX Exchange Regulation’s listing and prospectus-office comments, the recognized representative’s and lead manager’s due-diligence requests, and any FINMA inquiries the structure raises.

  • Post-listing compliance toolkit — a calendar and template set covering ongoing obligations by route: for a primary listing, annual and half-year reporting under the SIX Directive on Regular Reporting Obligations, the corporate governance disclosure, ad hoc publicity, management transactions, the corporate calendar, and the maintenance of listing conditions; for a secondary listing, the reduced regular-reporting and pass-through disclosure obligations; for Sparks, its segment-specific requirements; and the interaction with the company’s U.S. reporting calendar, delivered at closing.

Deliverable: a fully assembled, indexed listing application binder (electronic and hard copy) with a filing checklist mapped to SIX Exchange Regulation’s application requirements, and a reviewer-ready version of each document for execution by the company’s officers.

Engagement structure: flat-fee document preparation, scoped by route (primary or secondary listing), standard (International Reporting Standard, Standard for Depository Receipts, or Sparks), and structure (direct share listing or depository receipts), with milestone billing tied to the pre-application memo, listing-application package, prospectus approval, and admission.
