Syndicate Legal Advisory Services prepares the U.S.-side and cross-border legal documentation required to support an application to list a company’s shares on the Shanghai Stock Exchange Main Board or Sci-Tech Innovation Board (STAR Market), or to list shares or Chinese Depositary Receipts of a qualifying offshore-incorporated red-chip company on the STAR Market. Working under the direction of the company’s PRC sponsor institution, PRC accounting firm, and management, we draft, assemble, and organize every document the working group requires from the U.S. side, so that the Chinese-language application prepared and filed by the PRC sponsor is complete, internally consistent.

Scope of work includes:

  • Eligibility, board, and listing-standard analysis — written assessment of the available route: listing of a PRC-incorporated subsidiary or foreign-invested joint stock company; the STAR Market red-chip or CDR pathway for an offshore-incorporated issuer; or an alternative venue if neither applies. For STAR, the memo addresses the sci-tech attribute requirements (R&D intensity, core technology, invention patents, and industry classification), selection among the five market-value-based listing standards (including the pre-profit standards), and the special standards for red-chip issuers and companies with weighted voting rights; for the Main Board, the financial and market-value standards and controlling-shareholder requirements.

  • Pre-listing restructuring documents — U.S. board and shareholder resolutions, contribution and share-exchange agreements, and intercompany arrangements for converting the PRC entity into a joint stock limited company, clearing the shareholding structure, documenting the chain of ownership, and, for STAR red-chip applicants, restructuring or documenting the offshore holding structure and any variable-interest-entity arrangements to the standard the exchange will examine.

  • Technology and intellectual-property documentation — for STAR applicants, the IP ownership chain from the U.S. parent to the issuer, technology license and assignment agreements, R&D cost allocation and personnel documentation, and the core-technology narrative supporting the sci-tech attribute evaluation, together with any U.S. export-control classification the technology carries.

  • Cross-border regulatory filings on the U.S. side — documentation for U.S. shareholders’ outbound investment and foreign-exchange registrations with PRC authorities (SAFE Circular 37 and ODI filings), U.S. federal and state securities-law analysis confirming the listing creates no U.S. registration or reporting obligation, and CFIUS, export-control, and sanctions review memoranda where the business touches controlled technology — of particular significance for STAR-eligible sectors.

  • English-language source documents for the prospectus — business, risk-factor, related-party, IP, litigation, and management disclosure relating to the U.S. parent and its operations, prepared to the standard PRC counsel needs to draft the Chinese prospectus and the lawyer’s work report, with the supporting due-diligence files.

  • Corporate governance documents — articles of association conforming to CSRC and SSE listed-company requirements, board and supervisory-board resolutions, independent director and audit committee documentation, related-party policies, and, for STAR issuers with weighted voting rights, the special-voting-share provisions and sunset clauses the STAR rules require, with English-language mirror versions for the U.S. parent’s board.

  • Shareholder and controller undertakings — lock-up undertakings for the controlling shareholder, actual controller, directors, senior management, and core technical personnel (the latter a STAR-specific category), non-competition and related-party undertakings, and share-reduction compliance procedures, reconciled with any U.S. shareholder agreements they may conflict with.

  • Data, cybersecurity, and compliance review documentation — materials supporting any Cyberspace Administration of China cybersecurity or data-export review the listing triggers, and reconciliation of U.S. privacy and data-transfer obligations with PRC obligations.

  • Review and registration correspondence — English-language drafts and supporting materials for responses to SSE listing-review inquiry letters (including STAR’s technology-focused inquiries) and CSRC registration comments, prepared for PRC counsel’s finalization and filing.

  • Post-listing compliance toolkit — a bilingual calendar and template set covering SSE and CSRC continuous-disclosure obligations, STAR-specific R&D and technology disclosure, lock-up expiry tracking for each category of holder, share-reduction rules, and the interaction with any U.S. reporting the parent maintains, delivered at closing.

Deliverable: a fully assembled, indexed cross-border document set (electronic and hard copy) with a filing checklist mapped to the PRC sponsor’s application index, and a reviewer-ready version of each U.S.-side document for execution by the company’s officers.

Engagement structure: flat-fee document preparation, scoped by route (PRC subsidiary listing, foreign-invested joint stock company, or STAR red-chip/CDR) and board (Main Board or STAR Market), with milestone billing tied to the structure memo, restructuring package, prospectus source materials, and final sponsor submission.
