Syndicate Legal Advisory Services prepares the complete legal documentation package required to list a company’s shares on the Main Board or AltX of the Johannesburg Stock Exchange by way of a primary listing, a secondary listing, or the fast-track process for companies already listed on an accredited exchange. Working alongside the company’s management, the JSE-approved sponsor (or the Designated Adviser for an AltX listing), the reporting accountants and auditors, and the company’s South African transfer secretaries and Central Securities Depository Participant, we draft, assemble, and organize every document the JSE, the FSCA, the CIPC, and the South African Reserve Bank require — for an initial public offering in South Africa, a direct listing, a fast-track or secondary listing by a company already listed in the United States, or a transfer from AltX to the Main Board — so the application is submitted complete, internally consistent, and ready for review.
Scope of work includes:
Pre-application and route analysis — written assessment of the company against the Main Board entry criteria (subscribed capital, audited profit history or the alternative criteria for companies without one, share-capital spread and free float, and the number of public shareholders) and the AltX entry criteria (including the Designated Adviser requirement and the lighter financial thresholds), the company’s eligibility for a secondary listing or the fast-track process on the strength of its U.S. listing, and the exchange-control classification of the proposed inward listing, with a gap memo identifying the achievable board and route and what must be addressed before filing.
JSE listing application package — preparation of the listing application in the form the Listings Requirements prescribe, the sponsor’s or Designated Adviser’s letters and declarations, the directors’ declarations (including the personal-history and disqualification confirmations each director must provide), the company’s undertakings and the general undertaking to comply with the Listings Requirements, the share-capital and shareholder-spread schedules, the Strate eligibility confirmation, and all supporting exhibits, including the documentary-evidence file the JSE requires.
Pre-listing statement or prospectus — drafting and coordination of the pre-listing statement approved by the JSE for a listing without a public offer, or the prospectus registered with the CIPC under the Companies Act for an offer to the public, including the reporting accountants’ report, the historical financial information in the form the Listings Requirements require, the forecast and pro forma financial information where included, the responsibility statements, and the abridged pre-listing statement published on SENS; for a fast-track or secondary listing, the reduced pre-listing statement or listing announcement the JSE permits, incorporating the company’s U.S. filings.
Exchange-control and Reserve Bank documentation — the application to the South African Reserve Bank’s Financial Surveillance Department for approval of the inward listing, the documentation supporting the domestic-asset classification of the shares, the arrangements for the repatriation of offering proceeds and payment of dividends to non-resident holders, and the authorized-dealer confirmations.
U.S. securities law coordination — Regulation S structuring for the South African offering, confirmation that the listing creates no new Securities Act or Exchange Act registration obligation, conforming disclosure in the company’s U.S. periodic reports, and reconciliation of the South African and U.S. disclosure timetables so that one event is announced consistently in both markets.
Corporate governance and constitutional documents — amendments to the certificate of incorporation and bylaws the JSE requires of a foreign company (the Listings Requirements prescribe provisions the constitutional documents must contain or must not contain), board and shareholder resolutions authorizing the listing and any offering, the documentation of the company’s governance arrangements against the King IV Report on Corporate Governance (applied on an “apply and explain” basis, which the JSE requires of Main Board companies), board committee charters including the audit and social and ethics committees the Companies Act and Listings Requirements contemplate, and the appointment of a company secretary meeting the Listings Requirements.
Continuous disclosure, insider, and takeover compliance — SENS announcement procedures and the JSE’s continuing-obligations regime for price-sensitive information, the dealing-in-securities policy and closed-period rules for directors and prescribed officers, the market-abuse provisions of the Financial Markets Act, disclosure of beneficial interests under the Companies Act, the application of the Takeover Regulation Panel’s jurisdiction and the Companies Act’s affected-transaction rules to a foreign company, and integration with the company’s U.S. Regulation FD, Section 16, and Schedule 13D/13G procedures.
Settlement and registry documentation — Strate dematerialization and settlement arrangements, the appointment of the South African transfer secretaries and the Central Securities Depository Participant, the South African branch register where used, and the mechanism for transferring shares between DTC and Strate for a dual-listed company.
JSE and regulator correspondence — preparation of responses to the JSE Issuer Regulation division’s comments on the listing application and pre-listing statement, CIPC prospectus registration queries, Reserve Bank exchange-control queries, and the sponsor’s or Designated Adviser’s due-diligence requests.
Post-listing compliance toolkit — a calendar and template set covering ongoing obligations by board and route: annual financial statements, interim results, and the trading-statement regime for the Main Board; AltX’s requirements and the Designated Adviser relationship; SENS announcements; the annual compliance certificate; the King IV application report; the reduced obligations of a secondary listing; and the interaction with the company’s U.S. reporting calendar, delivered at closing.
Deliverable: a fully assembled, indexed listing application binder (electronic and hard copy) with a filing checklist mapped to the JSE’s documents-to-be-submitted schedule, and a reviewer-ready version of each document for execution by the company’s officers.
Engagement structure: flat-fee document preparation, scoped by board (Main Board or AltX) and route (primary listing by IPO or direct listing, fast-track or secondary listing, or AltX-to-Main Board transfer), with milestone billing tied to the pre-application memo, listing-application package, pre-listing statement or prospectus approval, and listing.
