Syndicate Legal Advisory Services prepares the complete legal documentation package required to admit a company’s shares to trading on the Frankfurt Stock Exchange — the Regulated Market in its Prime Standard or General Standard segment, or the Open Market in its Scale segment — or to arrange inclusion in the Open Market’s Quotation Board for a company already listed on a U.S. or other recognized exchange. Working alongside the company’s management, the admitting bank or financial services institution that co-applies for admission (or the Deutsche Börse Capital Market Partner for a Scale listing), independent auditors, and the company’s paying agent, we draft, assemble, and organize every document the exchange and BaFin require — for an initial public offering in Germany, a direct listing, a dual listing by a company already listed in the United States, an upgrade from the Open Market to the Regulated Market, or a transfer between segments — so the application is submitted complete, internally consistent, and ready for review.
Scope of work includes:
Pre-application and segment analysis — written assessment of which tier and segment fit the company’s objectives: Prime Standard for index eligibility and institutional reach, General Standard for a regulated-market listing with statutory transparency only, Scale for a growth company seeking an SME growth market with lighter requirements, or Quotation Board inclusion as a low-cost secondary trading line; the company’s position against the admission requirements for each (operating history, expected market capitalization, free float, and accounting standards), and whether a German public offering is intended, with a gap memo identifying the achievable segment and what must be addressed before filing.
Admission application package — preparation of the application for admission to the Regulated Market filed jointly with the admitting institution, the application for inclusion in the chosen transparency segment, the issuer’s declarations and undertakings under the Exchange Rules, the share-distribution and free-float confirmations, the securities identification and settlement confirmations, and all supporting exhibits; for Scale, the inclusion application, the Capital Market Partner’s appointment and declarations, and the exchange’s required documents; for the Quotation Board, coordination with the trading participant making the inclusion application and the issuer-side confirmations where the company chooses to be involved.
Prospectus or inclusion document — for admission to the Regulated Market or a public offering in Germany, drafting and coordination of the prospectus under the EU Prospectus Regulation for approval by BaFin, including the EU Growth prospectus where available and the passporting notifications for offers in other EEA states; for Scale, the inclusion document the segment requires where no prospectus is needed; and the documentation establishing that an exemption applies for a dual listing with no public offer.
U.S. securities law coordination — Regulation S structuring for any German or EEA placement, confirmation that the admission creates no new Securities Act or Exchange Act registration obligation, conforming disclosure in the company’s U.S. periodic reports, and reconciliation of the German and U.S. disclosure timetables so that one event is announced consistently in both markets.
Corporate governance and constitutional documents — board and shareholder resolutions authorizing the admission and any offering; charter or bylaw amendments the chosen segment requires; the documentation of the company’s governance arrangements for a foreign issuer (the German Corporate Governance Code’s declaration of conformity applies to German stock corporations, so the description for a U.S. issuer covers the voluntary governance disclosure the Prime Standard and institutional investors expect); and, for Prime Standard, the corporate action timetable, the financial-calendar undertaking, and the analyst-conference commitments.
Market abuse and securities-trading-act compliance — inside-information disclosure procedures, insider lists, managers’ transactions notification templates, and closed-period controls under the EU Market Abuse Regulation; voting-rights notification procedures and the issuer’s publication obligations under the German Securities Trading Act (WpHG); the German Federal Gazette and company register publication requirements; and integration with the company’s U.S. Regulation FD, Section 16, and Schedule 13D/13G procedures.
Settlement and share-form documentation — Clearstream eligibility and global-certificate or book-entry arrangements, the handling of U.S. registered shares in the German settlement system (including any required depositary or global-share arrangements), the paying-agent appointment, and the mechanism for transferring shares between DTC and Clearstream for a dual-listed company.
Exchange and regulator correspondence — preparation of responses to Frankfurt Stock Exchange admission queries, BaFin comments on the prospectus, and the admitting institution’s or Capital Market Partner’s due-diligence requests.
Post-admission compliance toolkit — a calendar and template set covering ongoing obligations by segment: annual and half-year financial reports under the WpHG for the Regulated Market; Prime Standard quarterly statements, IFRS reporting, English-language disclosure, and the financial calendar; Scale’s annual and half-year reporting and the Capital Market Partner relationship; MAR disclosure; voting-rights publications; and the interaction with the company’s U.S. reporting calendar, delivered at closing.
Deliverable: a fully assembled, indexed admission binder (electronic and hard copy) with a filing checklist and a reviewer-ready version of each document for execution by the company’s officers.
Engagement structure: flat-fee document preparation, scoped by tier and segment (Prime Standard, General Standard, Scale, or Quotation Board) and route (German IPO, direct or dual listing, Open Market upgrade, or segment transfer), with milestone billing tied to the pre-application memo, draft package, prospectus approval, and admission.
