Syndicate Legal Advisory Services prepares the complete legal documentation package required to list a company’s shares on the Bermuda Stock Exchange — on the Main Board, the Mezzanine Market, or by way of secondary listing for a company already listed on a recognized exchange. Working alongside the company’s management, the BSX-approved Listing Sponsor, independent auditors, and the company’s registrar and the BSX depository, we draft, assemble, and organize every document the BSX and the Bermuda Monetary Authority require — for a primary listing with or without a capital raise, a Mezzanine Market listing by a development-stage company, a secondary listing by a company already listed in the United States, or a transfer from the Mezzanine Market to the Main Board — so the application is submitted complete, internally consistent, and ready for review.

Scope of work includes:

  • Pre-application and market analysis — written assessment of the company against the Main Board listing requirements under the BSX Listing Regulations (trading record, audited financial statements, minimum market capitalization and free float, shareholder spread, and management and board suitability), the Mezzanine Market requirements for development-stage companies (including the qualified-investor trading restriction and the business-plan and disclosure requirements that substitute for a trading record), and the secondary-listing eligibility of the company’s U.S. listing, together with the regulatory recognitions of the BSX that bear on the company’s objectives (the SEC’s designated-offshore-securities-market status for Regulation S offerings, and the recognized-stock-exchange status relevant to certain investor mandates and tax regimes), with a gap memo identifying the achievable market and route and what must be addressed before filing.

  • Listing application package — preparation of the listing application and the supporting documents the Listing Regulations prescribe for the chosen market, the Listing Sponsor’s appointment, undertakings, and declarations, the directors’ declarations and the company’s undertakings to the exchange, the share-capital and shareholder-spread schedules, the depository eligibility confirmation, the listing-fee and annual-fee acknowledgments, and all supporting exhibits; for a secondary listing, the reduced application the Listing Regulations permit, incorporating the home-exchange confirmations and the company’s U.S. filings.

  • Listing document or prospectus — drafting and coordination of the listing document the BSX requires for a Main Board or Mezzanine Market listing (prepared under the Listing Regulations’ content requirements and, where a public offer is made in Bermuda, in compliance with the Bermuda Companies Act’s prospectus provisions), including the business, risk-factor, financial, related-party, and legal sections, the auditors’ reports, and the responsibility statements; for a secondary listing, the summary listing document or listing announcement the BSX accepts, incorporating the company’s U.S. filings by reference.

  • U.S. securities law coordination — Regulation S structuring for any offering through the BSX, including the use of the BSX’s designated-offshore-securities-market status to satisfy the offshore-transaction requirements, confirmation that the listing creates no new Securities Act or Exchange Act registration obligation, the U.S. transfer restrictions applicable to the listed shares where relevant, conforming disclosure in the company’s U.S. periodic reports, and reconciliation of the BSX and U.S. disclosure timetables so that one event is announced consistently in both markets.

  • Corporate governance and constitutional documents — amendments to the certificate of incorporation and bylaws the Listing Regulations require of an applicant, board and shareholder resolutions authorizing the listing and any offering, the documentation of the company’s governance arrangements in the form the BSX expects (including board composition and audit committee arrangements for Main Board companies), and, where the company elects to list through a Bermuda holding company, the memorandum of association and bye-laws of the Bermuda issuer and the Bermuda Companies Act compliance documents.

  • Continuing-obligations and insider compliance — price-sensitive-information announcement procedures under the BSX Listing Regulations’ continuing obligations, the dealing restrictions for directors and insiders, the notification of significant shareholdings, the Mezzanine Market’s qualified-investor transfer controls, and integration with the company’s U.S. Regulation FD, Section 16, and Schedule 13D/13G procedures.

  • Depository, registrar, and settlement documentation — admission of the shares to the BSX depository, the registrar appointment, the arrangements for holding U.S.-registered shares through the depository, and the mechanism for transferring shares between DTC and the BSX depository for a dual-listed company.

  • Exchange and regulator correspondence — preparation of responses to BSX listing-review queries, any Bermuda Monetary Authority inquiries the structure raises, and the Listing Sponsor’s due-diligence requests.

  • Post-listing compliance toolkit — a calendar and template set covering ongoing obligations by market and route: annual audited financial statements and interim reports under the Listing Regulations, price-sensitive announcements through the BSX, the annual listing confirmation and fee, the Mezzanine Market’s periodic requirements and transfer controls, the reduced obligations of a secondary listing, and the interaction with the company’s U.S. reporting calendar, delivered at closing.

Deliverable: a fully assembled, indexed listing application binder (electronic and hard copy) with a filing checklist mapped to the BSX Listing Regulations’ document requirements, and a reviewer-ready version of each document for execution by the company’s officers.

Engagement structure: flat-fee document preparation, scoped by market (Main Board, Mezzanine Market, or secondary listing) and route (primary listing with or without an offering, Mezzanine Market listing, secondary listing by a U.S.-listed company, or Mezzanine-to-Main Board transfer), with milestone billing tied to the pre-application memo, listing-application package, listing-document approval, and listing.
