Syndicate Legal Advisory Services provides nationwide legal document preparation services for eligible reporting companies preparing Form S-8 registration statements under the Securities Act of 1933 for securities offered pursuant to employee benefit plans. We prepare Form S-8 and related supporting materials based on the plan information, company details, and specific instructions you provide.

Documents Commonly Prepared

We prepare a full range of documents associated with a Form S-8 filing, including but not limited to:

  • Form S-8 Registration Statement: Completion of the registration statement, including Part I (the Section 10(a) prospectus) covering Item 1 (plan information such as the nature and purpose of the plan, securities offered, eligibility, and material risks) and Item 2 (registrant information and employee plan annual information, including statements of availability of documents incorporated by reference), and Part II covering incorporation of documents by reference, description of securities, interests of named experts and counsel, indemnification of directors and officers, exemption from registration claimed (if any), exhibits, and undertakings, based on the information and content you supply.

  • Prospectus Materials: Formatting of the plan information and related prospectus documents to be delivered to participants, based on the materials you provide.

  • Exhibits: Organization and formatting of required exhibits (such as the employee benefit plan document, legal opinion regarding the securities, auditor consent, and other supporting documents), based on the documents and information you supply.

  • Amendments (Form S-8/A): Preparation of amended registration statements incorporating updates or additional securities, based on the corrected or updated details you provide.

  • Related Supporting Materials: Organization of attachments, signature pages, filing fee tables, or other materials referenced in the registration statement, based on the information you supply.

Documents are prepared for use in connection with electronic filings through the SEC’s EDGAR system (subject to the information you provide). Form S-8 is available to registrants that are subject to Exchange Act reporting requirements, have filed all required reports during the preceding 12 months (or shorter period of reporting), and are not shell companies (with limited exceptions for former shell companies that have filed current Form 10 information at least 60 days previously); it may be used to register securities of the registrant offered to employees (including certain officers, directors, consultants, and advisors meeting the definition) or employees of subsidiaries or parents under any employee benefit plan, and interests in such plans if they constitute securities; the registration statement becomes effective immediately upon filing under Rule 462(a); clients remain fully responsible for determining eligibility to use Form S-8, the accuracy and completeness of all disclosures, timely electronic filing via EDGAR, delivery of prospectus information to participants, and compliance with all Securities Act, Exchange Act, and SEC requirements.
