We prepare Form S-11 and related supporting materials based on the company information, real estate data, financial information, and specific instructions you provide.

Documents Commonly Prepared

We prepare a full range of documents associated with a Form S-11 filing, including but not limited to:

  • Form S-11 Registration Statement: Completion of the registration statement, including Part I (the prospectus) covering summary information, risk factors, use of proceeds, description of real estate and properties, operating data, management, financial statements, and other required disclosures, and Part II covering additional information, exhibits, financial statement schedules, and undertakings, based on the information and content you supply.

  • Prospectus and Related Sections: Formatting of the investor-facing prospectus sections, including real estate-specific disclosures such as property descriptions, geographic distribution, lease terms, tenant information, and investment policies, based on the narratives, data, and materials you provide.

  • Financial Statement Materials: Organization and formatting of required financial statements and schedules under Regulation S-X, based on the financial data you supply.

  • Exhibits: Organization and formatting of required exhibits (such as organizational documents, material contracts, legal opinions, tax opinions, auditor consents, and subsidiary lists), based on the documents and information you supply.

  • Amendments (Form S-11/A): Preparation of amended registration statements incorporating updates, responses to comments, or revised information, based on the corrected or updated details you provide.

  • Related Supporting Materials: Organization of attachments, signature pages, filing fee tables, or other materials referenced in the registration statement, based on the information you supply.

Documents are prepared for use in connection with electronic filings through the SEC’s EDGAR system (subject to the information you provide). Form S-11 is the registration statement used for securities issued by real estate investment trusts (as defined in Section 856 of the Internal Revenue Code) or other issuers whose business is primarily acquiring and holding for investment real estate or interests in real estate; it is not available for investment companies registered under the Investment Company Act or for asset-backed securities; it includes real estate-specific disclosures and financial statements; certain eligible seasoned issuers may incorporate information by reference from Exchange Act filings; the registration statement undergoes SEC review and must become effective before securities may be sold; clients remain fully responsible for determining eligibility to use Form S-11, the accuracy and completeness of all disclosures, timely electronic filing via EDGAR, responses to SEC comments, and compliance with all Securities Act, Regulation S-K, Regulation S-X, and SEC requirements.
