Form 20-F is used by foreign private issuers (other than asset-backed issuers) as an annual report under Sections 13 or 15(d) of the Exchange Act (due within four months after the end of the fiscal year) and as a registration statement under Section 12 of the Exchange Act; it accommodates non-U.S. accounting standards and home-country practices in certain respects; clients remain fully responsible for determining foreign private issuer status and the filing obligation, the accuracy and completeness of all disclosures, timely electronic filing via EDGAR, and compliance with all Exchange Act, Regulation S-X, Form 20-F instructions, and SEC requirements.
