Syndicate Legal Advisory Services prepares the complete set of documents required to form a limited partnership in any U.S. state — for a real estate venture, an investment fund, a family wealth-transfer vehicle, an operating business, or any other enterprise in which one or more general partners manage the business and limited partners contribute capital without management responsibility — and to establish its governance, economics, and compliance framework from the first day of operation. We draft, assemble, and organize every formation document, a custom limited partnership agreement tailored to the partners’ economic arrangement and management structure, the general partner entity’s formation documents where the general partner is to be an entity, the organizational consents and partner admission documents, and the post-formation compliance calendar, so the partnership is formed correctly, governed by an agreement that reflects how its partners actually intend to share capital, profits, control, and risk, and positioned to stay in good standing. State filing fees, registered-agent fees, publication costs, and other third-party charges are not included in the flat fee and are the sole responsibility of the client.

Scope of work includes:

  • Formation planning and intake — a structured intake and written summary confirming the state of formation and the reasons for it (including the considerations that lead many partnerships to Delaware or to the state where the property or business is located), the partnership name and its required designator, the registered agent and office, the general partner or partners and whether each will be an individual or a liability-shielding entity, the limited partners and their capital commitments, the business purpose and term, the economic arrangement — contributions, allocations, preferred returns, promote or carried interest, and distribution waterfall — the management and consent structure, the tax classification and the partnership representative, whether the partnership will offer interests to outside investors (and therefore the securities-law exemption it will rely on), and whether it will operate or hold property in other states.

  • General partner entity formation — where the general partner is to be an LLC or corporation formed for the purpose, the formation documents and governing agreement of that entity, drafted to hold the general partner interest, to contain its liability, and to allocate control among its owners consistently with the limited partnership agreement.

  • Certificate of limited partnership — preparation of the certificate of limited partnership in the form the state requires, including the name, the registered agent and office, the name and address of each general partner, the term where required, and the optional provisions the state permits (such as the election to be a limited liability limited partnership where available, which extends liability protection to the general partner), ready for filing with the secretary of state or submitted on the client’s behalf with the client paying the state fee directly.

  • Custom limited partnership agreement — drafting of a limited partnership agreement written for the partnership’s specific arrangement rather than adapted from a generic form, addressing: the partners, their classes, and their capital contributions and commitments, including capital calls, default remedies, and the admission of additional limited partners; capital accounts and the allocations of profit, loss, and tax items, with the regulatory allocation provisions and the tax-distribution and withholding mechanics; the distribution waterfall — return of capital, preferred return, catch-up, and promote or carried interest — and the clawback where used; the general partner’s authority, duties, compensation, and reimbursement, and the matters requiring limited partner consent; the limited partners’ rights, the safe-harbor activities that preserve their limited liability, and their information and inspection rights; the fiduciary duties of the general partner and their modification to the extent the state permits, together with exculpation and indemnification; transfer restrictions, rights of first refusal, and permitted transfers; the withdrawal, removal, and replacement of the general partner and the continuation of the partnership; the withdrawal, death, or incapacity of a limited partner; confidentiality and, where wanted, non-competition and non-solicitation covenants; dissolution, winding up, and the liquidation waterfall; tax matters, including the partnership representative designation and the elections the partnership will make; and dispute resolution and governing law.

  • Organizational consents and partner admission documents — the written consent of the general partner adopting the partnership agreement, confirming the partners and their contributions, authorizing the bank account and tax elections, and ratifying the formation; the subscription agreement and investor questionnaire for each limited partner, with the representations appropriate to the securities-law exemption relied upon; the partner interest ledger; the certificates of interest where the partnership elects certificated interests; and the partnership record book index.

  • Securities-law documentation — where interests are offered to investors beyond the founding partners, the exemption analysis and the Form D and state notice filings for a Regulation D offering, the private placement memorandum where the offering warrants one (coordinated with the firm’s separate offering-document services), and the investment-company and investment-adviser analysis for a fund structure.

  • Tax identification and elections — the application for the federal employer identification number, the confirmation of partnership classification (or the Form 8832 election where the partners choose otherwise), the Section 754 election and other elections the partnership will make, and the state tax and employer registrations the partnership’s activities require.

  • State and federal compliance filings — the initial report where the state requires one, the publication notices for states that require them, the beneficial ownership information report under the Corporate Transparency Act where the partnership is subject to it under the rules in effect at formation, and the foreign registration applications and registered-agent appointments for any other states in which the partnership will do business or hold property.

Deliverable: a complete, indexed partnership record book (electronic and hard copy) containing the filed or file-ready certificate of limited partnership, the executed limited partnership agreement, the general partner entity’s formation documents where applicable, the organizational consents, the subscription agreements and partner interest ledger, the securities-law and tax filings, the compliance filings, and the compliance calendar, with a filing checklist and signature-ready versions of each document for execution by the general and limited partners.
