Syndicate Legal Advisory Services prepares the complete set of documents required to form a general partnership in any U.S. state — an association of two or more persons carrying on a business for profit as co-owners — and to establish its governance, economics, and compliance framework from the first day of operation. A general partnership can arise by operation of law without any filing, and when it does, the state’s default partnership statute governs every question the partners have not settled in writing: equal sharing of profits regardless of contribution, equal management rights, unlimited personal liability for every partner, and dissolution on the departure of any partner. The purpose of this engagement is to replace those defaults with a partnership agreement that reflects the partners’ actual arrangement, and to put in place the filings, registrations, and records a properly run partnership needs. Working from the client’s answers to a structured intake, we draft, assemble, and organize the partnership agreement, the optional state filings that establish the partnership’s authority and name, the organizational consents, the tax registrations, and the post-formation compliance calendar. State filing fees, registered-agent fees, publication costs, and other third-party charges are not included in the flat fee and are the sole responsibility of the client.
Scope of work includes:
Formation planning and intake — a structured intake and written summary confirming the state whose law will govern the partnership, the partners and their capital and service contributions, the business purpose and intended term, the economic arrangement — contributions, allocations of profit and loss, draws, and distributions — the management and voting structure, the partners’ authority to bind the partnership, the tax classification and partnership representative, the insurance the partners will carry, and whether the partnership will operate in other states; the summary also sets out the personal-liability consequences of the general partnership form and the alternatives (a limited liability partnership registration, a limited partnership, or an LLC) that would limit it, so the partners choose the form with that understanding.
Statement of partnership authority — where the partners want the public record to reflect the partnership’s existence and the partners’ authority — for real property transactions, lender requirements, or to limit the apparent authority of individual partners — preparation of the statement of partnership authority (or the state’s equivalent) for filing with the secretary of state and, for real property, recording in the county, with the companion statement of denial where a partner’s authority is to be limited of record.
Custom partnership agreement — drafting of a partnership agreement written for the partnership’s specific arrangement rather than adapted from a generic form, addressing: the partners, their capital contributions and capital accounts, and the treatment of services, property, and loans contributed; additional contributions and capital calls; the allocation of profits and losses and the draw and distribution mechanics, including tax distributions; management authority, voting thresholds, the matters requiring unanimous or supermajority approval, and the designation of a managing partner where wanted; the scope of each partner’s authority to bind the partnership and the internal consequences of exceeding it; the partners’ duties of loyalty and care and their modification to the extent the statute permits, including the treatment of outside business activities; indemnification and contribution among the partners for partnership liabilities, and the allocation of liability for a partner’s own misconduct; books, records, accounting method, and the partners’ information rights; the admission of new partners; transfer restrictions and the rights of a transferee; the withdrawal, retirement, expulsion, death, or disability of a partner, with the buyout valuation and payment terms and the election to continue the partnership rather than dissolve; confidentiality and, where wanted, non-competition and non-solicitation covenants; dissolution, winding up, and the distribution of assets; tax matters, including the partnership representative designation and the elections the partnership will make; and dispute resolution and governing law.
Organizational consents and initial records — the written consent of the partners adopting the partnership agreement, confirming the partners and their contributions, designating the managing partner where used, authorizing the bank account, the tax registrations, and the state and county filings, and ratifying the formation; the partner ledger and capital-account schedule; and the partnership record book index.
Tax identification and elections — the application for the federal employer identification number, the confirmation of partnership classification (or the Form 8832 election where the partners choose otherwise), the elections the partnership will make, and the state tax, employer, sales-and-use, and business-license registrations the partnership’s activities require.
Liability-protection documentation — the documentation of the general liability, professional liability, and other insurance the partners elect to carry, the indemnification and contribution provisions in the agreement, and, where the state’s LLP statute is open to the business and the partners want the shield, the statement of qualification that converts the partnership to a limited liability partnership (coordinated with the firm’s separate LLP formation service).
State and federal compliance filings — the foreign registration or assumed-name filings in other states where the partnership will operate, and the beneficial ownership information report under the Corporate Transparency Act where the partnership is subject to it under the rules in effect at formation (general partnerships that file no formation document with a state are generally outside the reporting requirement, but a filed statement of partnership authority or LLP registration can change that analysis).
Post-formation compliance toolkit — a compliance calendar and template set for the partnership’s recurring obligations: the annual partnership return and Schedules K-1, the state tax and business-license filings, the fictitious-business-name renewal, the statement-of-partnership-authority renewal where filed, the insurance renewals, the annual partner consent and capital-account reconciliation, and the partnership agreement amendment procedure, together with a one-page summary of the practices — separate accounts, written authority limits, documented decisions — that reduce the partners’ exposure under the form.
Deliverable: a complete, indexed partnership record book (electronic and hard copy) containing the executed partnership agreement, the filed or file-ready statement of partnership authority and assumed-name filings, the organizational consents, the partner ledger and capital-account schedule, the tax identification and registration documents, the insurance and liability-protection documentation, the compliance filings, and the compliance calendar, with a filing checklist and signature-ready versions of each document for execution by the partners.
