Syndicate Legal Advisory Services prepares custom voting agreements for the shareholders of a corporation, the members of an LLC, or the partners of a partnership, in any U.S. state, whether as a stand-alone agreement, as a component of a financing or investor-rights package, as a founders’ agreement, or as an amendment to an agreement already in force. A voting agreement is a contract among owners — and often the company — that commits the parties to vote their shares or interests in a specified way on specified matters: the election of directors or managers, the approval or rejection of a sale, merger, or financing, the exercise of drag-along rights, or any other decision the parties want to settle in advance. It is enforceable as a contract and, under most corporation statutes, specifically enforceable, which distinguishes it from an informal understanding; its close relatives are the irrevocable proxy, which delivers the vote to a named holder, and the voting trust, which transfers legal title to a trustee who votes under the trust’s terms. Working from the client’s answers to a structured intake and from the company’s charter, governing agreement, and capitalization records, we draft the agreement written for the parties’ specific objectives and consistent with the charter, the governing statute, the company’s other agreements, and the fiduciary limits that apply to directors who are also parties, together with the approvals, proxies, legends, and records that make it effective. State filing fees, where a related charter amendment is required, and other third-party charges are not included in the flat fee and are the sole responsibility of the client.
Scope of work includes:
Objective planning and intake — a structured intake and written summary confirming the company’s type and state, the parties to the agreement and the shares or interests they hold, the matters the agreement will govern and the voting outcome the parties want on each — board composition and the designation rights of founders, investors, or classes; the approval of a sale of the company and the drag-along mechanism; protective provisions and consent rights; the election of a chairman or managing member; or a shareholder succession plan — whether the company will be a party and bound to enforce the agreement, whether the agreement will be coupled with irrevocable proxies, whether a voting trust is the better vehicle, the agreement’s term and the events that terminate it (a public offering, a sale, a drop below an ownership threshold, or a fixed date), and the limits the statute places on the term of a proxy or voting trust.
Review of existing documents — review of the charter and bylaws (or the operating or partnership agreement), the capitalization table, any existing shareholders’, investor-rights, right-of-first-refusal, or co-sale agreements, prior consents, and the statute’s provisions on voting agreements, proxies, and voting trusts, with a written summary of the provisions the agreement must conform to or that must be amended to accommodate it, the statutory requirements for enforceability (a signed writing, and in some states a copy deposited with the company), and the fiduciary constraints on director-parties and the carve-outs the agreement needs for them.
Custom voting agreement — drafting of the agreement in full, addressing: the parties, the shares or interests subject to the agreement, and the after-acquired shares that become subject to it; the board or manager composition and the designation rights — the size of the board, the seats designated by each founder, investor, class, or group, the independent seats and the method of selecting them, the obligation to vote for the designees, the removal and replacement of a designee at the designator’s request, and the failure-to-designate provisions; the specified-matter voting covenants — the obligation to vote for or against enumerated transactions, the drag-along obligation on a sale approved by the required holders with the conditions that protect minority holders, the approval of charter amendments the financing contemplates, and the restrictions on actions inconsistent with the agreement; the irrevocable proxy and power of attorney granted to secure the covenants, coupled with an interest and drafted to the statute’s requirements for irrevocability; the covenant of the company to enforce the agreement and to refuse to register transfers in violation of it; the legend on the certificates or the book-entry notation and the deposit of the agreement with the company where the statute requires; the transfer provisions binding transferees and requiring joinders; the term, the termination events, and the automatic termination on a qualified public offering or a sale; the specific-performance and remedies provisions; the fiduciary carve-out confirming that a director-party is not restricted in acting as a director; the representations of the parties; and the amendment, waiver, notice, governing-law, and dispute-resolution provisions.
Irrevocable proxy (where used as a stand-alone instrument) — the proxy appointing the holder, the interest with which it is coupled, the matters and term it covers, the statutory recitals of irrevocability, and the notice to the company.
Voting trust (where elected) — the voting trust agreement transferring the shares to the trustee, the trustee’s powers, duties, compensation, succession, and removal, the voting instructions or discretion, the dividend and distribution pass-through, the voting trust certificates issued to the beneficial owners and their transfer, the term within the statutory limit and the extension procedure, the termination and return of the shares, and the deposit of the agreement and the trust’s share register with the company as the statute requires.
Approvals and conforming documents — the board or manager resolutions approving the company’s execution of the agreement and the legend, the shareholder or member consents where the charter or an existing agreement requires them, the joinder agreements for parties and transferees, the stock-power or transfer documents for a voting trust, the updated share or interest ledger with the legend notation, the conforming amendments to the charter, bylaws, or other agreements where needed (coordinated with the firm’s amendment services), and the notifications to the transfer agent and to lenders or investors whose consent the agreement requires.
Post-execution records and compliance — the record book entry of the agreement and the deposited copy, the designation-rights roster and the board-composition schedule, the compliance calendar entries the agreement creates (annual director elections and designation deadlines, the ownership-threshold tests that terminate designation rights, the proxy and voting trust term limits and renewal dates, and the joinder requirement on transfers), and a one-page summary of the voting mechanics the parties and the company should follow.
Deliverable: a complete, indexed voting agreement file (electronic and hard copy) containing the written summary of the review, the executed voting agreement and any irrevocable proxies or voting trust agreement, the approvals and joinders, the conforming documents and updated ledger, the designation-rights roster, and the compliance calendar, with a signature-ready version of each document for execution by the parties and the company.
