Syndicate Legal Advisory Services prepares the complete set of documents by which a corporation grants or sells shares subject to vesting to an employee, officer, director, advisor, or consultant — the restricted stock agreement and the plan, approval, tax, and record documents that accompany it — in any U.S. state, whether under an equity incentive plan or as a stand-alone grant, and whether the shares are issued as an award for no cash consideration or sold at a purchase price. Restricted stock differs from an option in that the recipient owns the shares outright from the grant date — with voting and dividend rights — but the shares remain subject to forfeiture or repurchase by the corporation until they vest over a period of continued service or on the achievement of performance conditions. That structure makes the tax treatment the central drafting concern: the recipient may file a Section 83(b) election within thirty days to be taxed on the shares’ value at grant rather than at each vesting date, and the agreement, the valuation, and the election must be prepared together for the result to hold. Working from the client’s answers to a structured intake and from the corporation’s charter, plan, and capitalization records, we draft the agreement written for the grant’s specific terms and consistent with the plan, the charter, the governing statute, and the securities and tax rules that apply, together with the approvals, the tax filings, and the records that reflect the issuance. State filing fees, where a related charter amendment is required, and other third-party charges are not included in the flat fee and are the sole responsibility of the client.

Scope of work includes:

  • Grant planning and intake — a structured intake and written summary confirming the corporation’s state, charter, and authorized and reserved shares; the recipient and the recipient’s relationship to the corporation (employee, officer, non-employee director, advisor, or consultant), which determines the securities-law exemption, the withholding obligations, and the plan provisions that apply; whether the grant is made under an existing equity incentive plan (and the shares available under it) or as a stand-alone grant requiring its own approvals; the number of shares, the purchase price if any, and the fair market value at grant and its support (a recent financing or an independent valuation); the vesting schedule — the period, the cliff, the interval, and whether vesting is time-based, performance-based, or both — and the definition of continuous service; the acceleration provisions on a change of control and on termination without cause, for good reason, death, or disability; the forfeiture or repurchase mechanics for unvested shares and any repurchase right on vested shares; the transfer restrictions, right of first refusal, and lock-up to attach; the tax withholding method; and whether the recipient will make a Section 83(b) election.

  • Review of existing documents — review of the equity incentive plan and prior award agreements for consistency, the charter and bylaws, the capitalization table and stock ledger, any shareholders’, voting, or ROFR and co-sale agreements the shares must join, the recipient’s employment, offer, or consulting agreement and any equity promise in it, and prior board approvals, with a written summary of the plan provisions that govern, the approvals required, and any amendment the plan or the share reserve needs before the grant.

  • Restricted stock agreement — drafting of the agreement (and the notice of grant where the plan uses a notice-and-agreement format) in full, addressing: the grant or purchase of the shares, the purchase price and payment, and the recipient’s representations (investment intent, accredited or sophisticated status as applicable, the restricted nature of the shares, and, for a non-employee, the consulting relationship); the vesting schedule, the continuous-service requirement, and the treatment of leaves of absence and changes in status; the forfeiture of unvested shares (for an award) or the corporation’s repurchase option at the lesser of the purchase price and fair market value (for a purchase) on termination of service, with the exercise mechanics, payment terms, and assignment of the option; the acceleration provisions; the escrow of unvested shares and the stock power in blank; the recipient’s voting and dividend rights during the vesting period and the treatment of dividends on unvested shares; the transfer restrictions, right of first refusal, market-standoff agreement, and joinder to the corporation’s stockholder agreements; the tax provisions — the recipient’s responsibility for taxes, the withholding mechanics (cash, share withholding, or sale to cover), the Section 83(b) acknowledgment and the recipient’s sole responsibility for filing, and the Section 409A statement; the legends; the no-right-to-continued-service and plan-controls provisions; and the amendment, notice, governing-law, and dispute-resolution provisions, with the spousal consent where community-property rules apply.

  • Section 83(b) election and tax documents — the Section 83(b) election form completed with the share information, the fair market value, and the amount paid, with the filing instructions, the thirty-day deadline, the cover letter to the IRS, the copy for the recipient’s return, and the corporation’s record of the election; the valuation support for the fair market value; the withholding and reporting documentation for the corporation (Form W-2 or 1099 treatment of the income at grant or at vesting); and the Section 1202 qualified-small-business-stock documentation where the corporation may qualify.

  • Plan documents (where needed) — the equity incentive plan and its form agreements where the corporation does not have one, or the plan amendment and share-reserve increase with the board and shareholder approvals the plan and the tax rules require, coordinated with the firm’s equity incentive plan service.

  • Approvals and issuance documents — the board or compensation committee resolutions approving the grant, the vesting and repurchase terms, the fair market value determination, and the escrow; the stock certificate with the legends or the uncertificated-share notice; the stock power and the escrow receipt; the updated capitalization table and stock ledger; the securities-law exemption documentation (Rule 701 for compensatory grants, with the disclosure required above the Rule 701 threshold, or the applicable alternative) and the state notice filing; and the notification to the equity-plan administrator or transfer agent.

Deliverable: a complete, indexed restricted stock file (electronic and hard copy) containing the written summary of the review, the executed restricted stock agreement and notice of grant, the Section 83(b) election and filing confirmation, the approvals and issuance documents, the stock certificate, stock power, and escrow receipt, the updated capitalization table and stock ledger, the securities-law filings, the vesting worksheet, and the compliance calendar, with a signature-ready version of each document for execution by the recipient, the recipient’s spouse where applicable, and the corporation.
