Syndicate Legal Advisory Services prepares the complete set of documents required to form a social purpose corporation in the states that provide for one — California, Washington, Florida, and Texas, each under its own statute — to organize it, and to establish its governance, special-purpose accountability, capitalization, and compliance framework from the first day of operation. We draft, assemble, and organize every incorporation document, the special-purpose provisions, custom bylaws tailored to the corporation’s ownership and board structure and its special-purpose obligations, the organizational resolutions and stock issuance documents, the special-purpose reporting framework, and the post-incorporation compliance calendar, so the corporation is formed correctly, governed by documents that give its social purpose legal standing, and positioned to stay in good standing and support future financing. State filing fees, registered-agent fees, publication costs, and other third-party charges are not included in the flat fee and are the sole responsibility of the client.

Scope of work includes:

  • Incorporation and special-purpose planning — a structured intake and written summary confirming the state of incorporation and its statutory model (and, where the state also offers a benefit corporation, the considerations that distinguish the two forms); the special purpose or purposes the corporation will pursue — a charitable or public purpose, the interests of employees, suppliers, customers, or communities, or environmental objectives — and how they will be stated; whether the directors’ consideration of the special purpose will be permissive or mandatory where the statute allows a choice; the corporate name and its required designator; the registered agent; the authorized capital structure; the initial shareholders and board; and whether the corporation anticipates impact or venture financing, an equity plan, or a public offering.

  • Name reservation and availability — the name-availability search and reservation filing where wanted, confirmation that the name includes the designator the statute requires (such as “social purpose corporation” or “SPC”), a preliminary trademark-conflict screen, and the assumed-name filing where the corporation will use a trade name.

  • Articles of incorporation — preparation of the articles in the form the social purpose corporation statute requires, including the statement that the corporation is a social purpose corporation, the special purpose or purposes stated with enough precision to guide the directors and the flexibility to evolve with the business, the statutory notice to shareholders that the corporation may pursue its special purpose at the expense of financial return, the authorized capital and any preferred-stock terms, the registered agent and incorporator, and the optional provisions appropriate to the corporation: limitation of director liability, indemnification, the supermajority vote the statute or the client requires to amend the special purpose or to convert to another form, exclusive-forum provisions, and the provisions an impact investor or exchange listing will expect.

  • Custom bylaws — bylaws written for the corporation’s specific structure and special-purpose obligations, covering the standard corporate machinery (shareholder meetings, the board, officers, stock, indemnification, records, and amendment) and the special-purpose provisions: the directors’ authority or duty to consider the special purpose and the statutory protection for doing so, the procedure the board follows when a decision implicates the special purpose, the board’s responsibility for the special-purpose report and its contents, the procedure and vote for amending the special purpose and the dissenters’ rights the statute attaches to that amendment, and the interested-director procedures for special-purpose-related transactions.

  • Shareholder agreement and founder documents (where applicable) — a shareholders’ or buy-sell agreement addressing transfer restrictions, buy-sell provisions, drag-along and tag-along rights, board composition, deadlock, and covenants, drafted consistently with the special purpose (including mission-lock provisions on a sale or change of control where wanted), or founder stock purchase agreements with vesting, repurchase rights, and Section 83(b) election materials for a corporation anticipating financing.

  • Organizational resolutions and initial records — the incorporator’s action and the board’s organizational consent adopting the bylaws, electing officers, adopting the special purpose and the board’s consideration procedure, adopting the reporting calendar, authorizing the initial share issuance, approving the stock certificate form with any notice the statute requires, and authorizing the bank account and tax elections; the stock ledger, share certificates, subscription agreements, and record book index.

  • Special-purpose reporting framework — the annual special-purpose report template conforming to the state’s requirements (in California, the management discussion and analysis of the special purpose, the objectives and the measures used, the actions taken and expenditures made in pursuit of it, and the extent to which it was achieved; the equivalent content in Washington and Florida; and the lighter disclosure Texas requires), the data-collection and measurement procedures, the publication procedure (delivery to shareholders and posting on the website where required), and the reporting calendar.

  • Capitalization, tax, and compliance filings — the capitalization table and securities-law exemption documentation for the initial issuance; the equity incentive plan where adopted at formation; the federal employer identification number application and confirmation of C-corporation classification (or S-corporation election where elected and permitted), noting that social purpose status confers no tax exemption; the state tax registrations; the initial statement of information, publication notices, and beneficial ownership information report where the corporation is subject to it under the rules in effect at formation; and foreign qualification applications for other states, with documentation of how the social-purpose status is disclosed in states without the form.

  • Post-incorporation compliance toolkit — a compliance calendar and template set for the annual shareholder and board consents, the annual report and franchise tax, registered-agent renewal, state tax filings, the annual special-purpose report and its publication, and the procedures and vote for amending the special purpose, with a one-page summary of the formalities and special-purpose steps directors and officers should observe.

Deliverable: a complete, indexed corporate record book (electronic and hard copy) containing the filed or file-ready articles with the special-purpose provisions, the executed bylaws, the shareholder or founder agreements, the organizational consents, the stock ledger and certificates, the capitalization table, the special-purpose report template and procedures, the tax and compliance filings, and the compliance calendar, with a filing checklist and signature-ready versions of each document.
