Under SEC Rule 17f-1, reporting financial institutions must track, inquire about, and report missing, lost, counterfeit, or stolen securities certificates using Form X-17F-1A.

Syndicate Legal Advisory Services provides nationwide legal document preparation services for broker-dealer firms (and other reporting institutions) required to prepare a report under SEC Rule 17f-1 (17 CFR § 240.17f-1) concerning missing, lost, stolen, or counterfeit securities. We prepare Form X-17F-1A and related documents based on the certificate details, circumstances of the loss or discovery, and specific instructions you provide.

Documents Commonly Prepared

We prepare a full range of documents associated with a Rule 17f-1 report, including but not limited to:

  • Form X-17F-1A: Completion of the Report for Missing, Lost, Stolen or Counterfeit Securities, including reporting institution information, type of report (loss, recovery, or update), certificate details (issuer, CUSIP, certificate numbers, quantity, etc.), date and type of loss, and other required fields, based on the information you supply.
  • Supporting Notices: Formatting of accompanying notices or copies of the report directed to the registered transfer agent for the issue, and (where applicable) to the Federal Bureau of Investigation, based on client-supplied information.
  • Updates or Corrections: Amendments, updates, or recovery reports on Form X-17F-1A, prepared from the revised or additional details you provide.
  • Related Supporting Materials: Organization of exhibits or attachments incorporating client-supplied certificate descriptions, police reports, or other materials referenced in the filing.

Documents are prepared for submission to the Securities and Exchange Commission’s designee (the Securities Information Center) and other required recipients under Rule 17f-1 (subject to the information you provide). Reports under Rule 17f-1 are time-sensitive (generally within one business day of discovery for theft or suspected criminal activity, or within one business day after a two-business-day search period for other losses) and must contain specific certificate and loss information; clients remain fully responsible for determining whether a report is required, the accuracy of the content, timely submission to all required parties, and compliance with all SEC and related requirements.
