FINRA Rule 4370 requires all member broker-dealer firms to create, maintain, review annually, and update a written Business Continuity Plan (BCP) to address emergencies and significant business disruptions.

Syndicate Legal Advisory Services provides nationwide legal document preparation services for broker-dealer firms required to prepare and maintain a written Business Continuity Plan under FINRA Rule 4370. We prepare the Business Continuity Plan and related disclosure and supporting documents based on the firm’s operational details, procedures, and specific instructions you provide.

Documents Commonly Prepared

We prepare a full range of documents associated with a Rule 4370 Business Continuity Plan, including but not limited to:

  • Business Continuity Plan: Completion of the written plan identifying procedures relating to an emergency or significant business disruption, addressing the required elements to the extent applicable (including data back-up and recovery, mission critical systems, financial and operational assessments, alternate communications, alternate physical locations, critical business constituent and counterparty impact, regulatory reporting, communications with regulators, and assurance of customers’ prompt access to funds and securities), based on the information and procedures you supply.
  • Customer Disclosure Statement: Formatting of the required customer disclosure summarizing how the plan addresses the possibility of a future significant business disruption and how the firm plans to respond to events of varying scope, based on the summary information you provide.
  • Annual Review Documentation: Preparation of materials documenting the annual review of the plan by the designated senior management registered principal, based on the review details you supply.
  • Update and Amendment Materials: Formatting of updates or amendments to the plan in response to material changes in the firm’s operations, structure, business, or location, based on the revised information you provide.
  • Related Supporting Materials: Organization of exhibits or attachments incorporating client-supplied procedures, contact information, or other materials referenced in the plan or disclosure.

Documents are prepared for the firm’s internal use, customer disclosure, and availability to FINRA staff upon request as required by Rule 4370 (subject to the information you provide). The plan must be reviewed annually, updated upon material changes, approved by a senior management registered principal, and disclosed to customers at account opening, on the firm’s website (if any), and upon request; emergency contact information must also be provided to FINRA; clients remain fully responsible for the accuracy and adequacy of the underlying procedures, annual review, updates, disclosures, and compliance with all FINRA Rule 4370 requirements.
