Syndicate Legal Advisory Services provides nationwide legal document preparation services for Registered Investment Advisers required to prepare Form PF under Rule 204(b)-1 of the Investment Advisers Act of 1940. We prepare Form PF and related supporting materials based on the private fund data, performance information, and specific instructions you provide.
Documents Commonly Prepared
We prepare a full range of documents associated with a Form PF filing, including but not limited to:
- Form PF (Section 1 and Applicable Additional Sections): Completion of the form, including adviser and fund identifying information, assets under management, performance data, borrowings, investor concentration, and other required items for the applicable sections (Section 1 for all filers; additional sections for large hedge fund advisers, large private equity fund advisers, or large liquidity fund advisers as applicable), based on the data you supply.
- Current or Event Reports: Formatting of current reports (e.g., Section 5 for large hedge fund advisers or Section 6 for private equity fund advisers) for specified triggering events, based on the event details you provide.
- Related Supporting Materials: Organization of exhibits, schedules, or attachments incorporating client-supplied fund data, performance calculations, or other materials referenced in the filing.
- Amendments: Preparation of amended Form PF filings, based on the corrected or updated details you supply.
Documents are prepared for use in connection with electronic filings through the Private Fund Reporting Depository (PFRD) system within IARD (subject to the information you provide). Form PF is generally required for SEC-registered investment advisers that advise one or more private funds and, together with related persons, had at least $150 million in private fund assets under management as of the end of the most recently completed fiscal year; filing frequency and additional sections depend on fund type and size (annual within 120 days of fiscal year-end for smaller advisers; quarterly for large hedge fund and large liquidity fund advisers; annual plus event reporting for large private equity fund advisers); clients remain fully responsible for determining the filing obligation (including thresholds and classifications), the accuracy of the data, timely electronic filing via PFRD, and compliance with all Investment Advisers Act, SEC, and CFTC requirements.
