Regulation S Offering — Offshore Offering Memorandum and Subscription Document Preparation
Syndicate Legal Advisory Services prepares the complete legal documentation package required to conduct an offering of securities to non-U.S. persons outside the United States in reliance on Regulation S, whether as a stand-alone offshore offering or as the offshore tranche of a concurrent Rule 506 or Rule 144A offering. Working alongside the company’s management, its U.S. securities counsel, local counsel in the principal jurisdictions where the securities will be offered, its accountants, its transfer agent, and any placement agent, distributor, or offshore platform engaged, we draft, assemble, and organize every document the offering requires under Regulation S and the securities laws of the offering jurisdictions — the offering memorandum, the subscription agreement and non-U.S. person certifications, the securities terms, the distributor and selling-restriction documentation, the transfer-restriction and stop-transfer framework, and the compliance procedures — so the offering is documented complete, internally consistent, and ready to launch in each jurisdiction where it will be conducted.
Scope of work includes:
Offering structure and category analysis — written assessment of the issuer’s Regulation S category (Category 1, 2, or 3) and the conditions it imposes, including the distribution compliance period applicable to the security and the issuer’s reporting status; the “U.S. person” and “offshore transaction” analysis for the intended investor base; the directed-selling-efforts restrictions and their interaction with any concurrent U.S. offering (including the SEC’s position on concurrent Regulation S and Rule 506 or 144A offerings and the integration safe harbors); the jurisdictions in which the securities will be offered and the local securities-law registration, exemption, or private-placement requirements of each; and the use of a designated offshore securities market or an offshore platform, with a memo setting the structure, the category, the jurisdiction-by-jurisdiction route, and the preparation sequence.
Offering memorandum — drafting of the offshore offering memorandum covering the cover page with the Regulation S legends and the notice to investors in each offering jurisdiction, the summary of the offering, the business and strategy, the management team, the capitalization and ownership, the use of proceeds, the offering terms and plan of distribution, the securities and their rights, dilution, the financial statements and management’s discussion of financial condition, related-party transactions and material contracts, litigation, the risk factors (including the risks specific to Regulation S securities and their resale restrictions), the transfer restrictions and the distribution compliance period, the U.S. and offering-jurisdiction tax considerations where relevant, investor eligibility, and the jurisdiction-specific selling restrictions and disclosures organized as supplements to a core document, with the memorandum prepared so that it contains no content constituting directed selling efforts in the United States.
Securities terms and governing documents — the instrument creating the offered security (charter amendment or certificate of designation, note or convertible-note terms, SAFE, LLC unit or partnership-interest terms, or warrants), the investor-rights provisions the offering contemplates, the legended form of certificate or the book-entry notation for Category 2 and 3 securities, and the board and shareholder resolutions authorizing the offering and the securities, including the issuer’s undertaking to refuse to register non-compliant transfers where Category 3 applies.
Subscription agreement and investor documents — the subscription agreement with the investor representations and warranties required by the applicable category (the written certification that the purchaser is not a U.S. person and is not acquiring the securities for the account or benefit of a U.S. person, the location of the purchaser at the time of the offer and the sale, the purchaser’s agreement to resell only in accordance with Regulation S, pursuant to registration, or under an available exemption, the agreement not to engage in hedging transactions with respect to the securities unless in compliance with the Securities Act, the acknowledgment of the legends and the distribution compliance period, investment intent, risk acknowledgments, and the anti-money-laundering, sanctions, and tax representations), the investor questionnaire supporting the non-U.S. person determination, the jurisdiction-specific investor certifications (such as professional-investor or sophisticated-investor certifications required by the local private-placement regime), the subscription procedures and acceptance mechanics, the wire and escrow instructions, and the closing and confirmation notices.
Local securities-law filings — the registration, exemption, or notice filings required in each offering jurisdiction under the route identified in the structure memo, the local-counsel engagement and the legal opinions or confirmations local law requires, the appointment of local agents or representatives where required, and the tracking schedule for each jurisdiction’s deadlines and conditions.
Compliance procedures — the no-directed-selling-efforts procedures and the record of all offering communications, the offshore-transaction verification file (purchaser location and non-U.S. person status), the distribution compliance period calendar and the stop-transfer implementation, the integration tracking for any concurrent U.S. offering, the anti-money-laundering, sanctions, and know-your-customer screening procedures appropriate to an international investor base (including FATCA and CRS documentation), and the record-keeping supporting the safe harbor.
Financial-statement coordination — coordination with the company’s accountants on the financial statements to be included in the offering memorandum (unaudited statements are permissible under Regulation S; the memo addresses whether reviewed or audited statements are advisable given the investor base and any local-law requirement), the presentation in the accounting standard and currency the offering jurisdictions expect, and the financial-condition discussion.
Closing and post-offering documentation — the closing checklist, the issuance of legended securities through the transfer agent and the updating of the capitalization table and stock ledger, the Form D filing where a concurrent Regulation D offering is conducted, and the post-offering compliance toolkit: a calendar and template set for the distribution compliance period and legend removal, the stop-transfer and Rule 904 resale procedures, the investor information rights undertaken, the Section 12(g) record-holder monitoring, and investor communications across jurisdictions.
Deliverable: a fully assembled, indexed offering binder (electronic and hard copy) containing the offering memorandum with its jurisdiction supplements, the executed securities instrument, the subscription package and non-U.S. person certifications, the distributor and selling-restriction documentation, the transfer-restriction and stop-transfer instructions, the local securities-law filings, and the compliance procedures, with a closing checklist and a reviewer-ready version of each document for execution by the company’s officers.
