Regulation D Rule 504 Offering — Offering Memorandum and Subscription Document Preparation
Syndicate Legal Advisory Services prepares the complete legal documentation package required to conduct an offering of securities under Rule 504 of Regulation D, together with the state registration or exemption filings the offering requires. Working alongside the company’s management, its accountants, and any broker-dealer or placement agent engaged, we draft, assemble, and organize every document the SEC, the state securities administrators, and investors require — the offering memorandum, the subscription agreement and securities terms, the Form D and state filings, and the compliance framework — so the offering is filed complete, internally consistent, and ready to launch in each state where it will be conducted.
Scope of work includes:
Offering structure and state-law analysis — written assessment of the company’s eligibility to use Rule 504, the offering amount against the twelve-month aggregate cap (including the aggregation and integration rules under Rule 152 and the Rule 504 calculation), the choice of security, the intended investor base and states, and — the central decision in a Rule 504 offering — the state-law route for each state: registration by qualification (including SCOR registration using the uniform Form U-7 where the state accepts it), registration by coordination where applicable, a state limited-offering exemption, or a state accredited-investor exemption that permits general solicitation; the memo identifies for each state whether general solicitation will be permitted and whether the securities will be restricted or freely tradable, and sets the preparation sequence.
Offering memorandum — drafting of the offering memorandum (or, where a state registration by qualification is used, the disclosure document in the form the state requires, such as the SCOR Form U-7 disclosure format) covering the business and strategy, the management team and their backgrounds, the capitalization and ownership, the use of proceeds, the offering terms and the plan of distribution, the securities and their rights, dilution, the financial statements and management’s discussion of financial condition, related-party transactions and material contracts, litigation, the risk factors, transfer restrictions and the resale position of the securities in each state, investor suitability standards, and the state-required legends and disclosures, with the state-by-state variations organized as supplements to a core document.
Securities terms and governing documents — the instrument creating the offered security (charter amendment or certificate of designation for a new class of stock, note or convertible-note terms, SAFE, LLC unit or partnership-interest terms, or warrants), the shareholder, voting, information-rights, and drag-along provisions the offering contemplates, and the board and shareholder resolutions authorizing the offering and the securities.
Subscription agreement and investor documents — the subscription agreement with the investor representations and warranties (including residency representations keyed to the states in which the offering is permitted, suitability or accredited-investor representations where a state exemption requires them, investment-intent and restricted-securities acknowledgments where the securities are restricted, and risk acknowledgments), the investor questionnaire, the accredited-investor verification materials where a state accredited-investor exemption is used, the subscription procedures and acceptance mechanics, and the closing and confirmation notices.
Form D and state filings — preparation of the Form D for filing on EDGAR within fifteen days of the first sale and its amendments; the state registration applications (Form U-7 and the accompanying state forms for SCOR registrations, or the state’s own registration-by-qualification forms), the state exemption notice filings, the consents to service of process (Form U-2), the state filing fees schedule, and the responses to state examiner comments; and, where a broker-dealer or agent is used, the state agent-registration or exemption confirmations.
Plan of distribution and solicitation framework — the determination of whether and where general solicitation is permitted, the advertising and marketing materials and their state-required legends for states that permit solicitation, the no-solicitation procedures and pre-existing-relationship documentation for states that do not, the placement-agent or broker-dealer engagement agreement and the finder’s-fee analysis under federal and state broker-dealer law, and the escrow agreement where the offering has a minimum.
Compliance procedures — the bad-actor disqualification questionnaires and certifications for the company’s covered persons under Rule 504(b)(3), the twelve-month aggregation tracking, the integration analysis for any concurrent or recent offerings, the state-by-state sales log and residency verification, the legending of certificates or book-entry notations for restricted securities, and the record-keeping the state registrations require.
Financial-statement coordination — coordination with the company’s accountants on the financial statements the chosen state routes require (reviewed or audited statements are required for registration by qualification in many states, while exempt routes may permit unaudited statements), and the presentation of the financial statements and the financial-condition discussion in the offering memorandum.
Closing and post-offering documentation — the closing checklist, the issuance of securities and updating of the capitalization table and stock ledger, the Form D amendment where required, the state sales reports and post-effective filings for registered offerings, and the post-offering compliance toolkit: a calendar and template set for any state-required periodic reporting to investors, the resale-restriction legends and their removal where the securities are freely tradable under the state route used, and investor communications.
Deliverable: a fully assembled, indexed offering binder (electronic and hard copy) containing the offering memorandum with its state supplements, the executed securities instrument, the subscription package, the EDGAR-ready Form D, the state registration or exemption filings for each state, the solicitation materials and legend set, and the compliance procedures, with a filing checklist and a reviewer-ready version of each document for execution by the company’s officers.
Engagement structure: flat-fee document preparation, scoped by offering size, security type, the number of states and the route used in each (registration by qualification, SCOR, or exemption), and whether a broker-dealer is engaged, with milestone billing tied to the structure and state-law memo, the offering memorandum and securities package, the state filings, and the first closing.
