Regulation A Tier 2 Offering — Form 1-A Offering Circular and Subscription Document Preparation

Syndicate Legal Advisory Services prepares the complete legal documentation package required to conduct a Regulation A Tier 2 public offering of securities, from the Form 1-A offering statement through SEC qualification to closing, and to establish the ongoing-reporting framework the issuer assumes. Working alongside the company’s management, its independent auditors, its transfer agent, and any broker-dealer, placement agent, or online investment platform engaged, we draft, assemble, and organize every document the SEC, the state securities administrators, the OTC Markets or national exchange where applicable, and investors require — the offering circular, the subscription agreement and securities terms, the testing-the-waters and solicitation materials, the state notice filings, the Exchange Act registration documents where a concurrent listing is sought, and the compliance and reporting framework — so the offering statement is filed complete, internally consistent, and positioned for qualification without avoidable comment cycles.

Scope of work includes:

  • Offering structure and pathway analysis — written assessment of the company’s eligibility to use Regulation A and the Tier 2 versus Tier 1 decision, the offering size against the Tier 2 cap and the affiliate-resale sub-limit, the choice of security, the plan of distribution (self-underwritten, best-efforts through a broker-dealer, firm-commitment underwriting, or an online platform), the use of a non-public draft submission, the integration analysis under Rule 251(c) for any concurrent or recent offerings, and — the decision specific to Tier 2 — the post-offering pathway: an OTCQB or OTCQX quotation with reliance on the conditional Section 12(g) exemption, a concurrent national-exchange listing with Exchange Act registration on Form 8-A, or voluntary Exchange Act registration, with the memo setting the structure, the pathway, and the preparation sequence.

  • Form 1-A, Part I and Part III — preparation of the structured Part I issuer and offering information for EDGAR filing, and assembly of the Part III exhibit index and exhibits: the underwriting or placement-agent agreement, the charter and bylaws, the instruments defining the rights of the securities, the subscription agreement, material contracts, the consents of the auditors and other experts, the opinion of counsel as to legality, the testing-the-waters materials used, any escrow agreement, and, where a concurrent exchange listing is sought, the exhibits the Form 8-A will incorporate.

  • Form 1-A, Part II — the offering circular — drafting of the offering circular in the Form 1-A Offering Circular format or, where the company intends to register under the Exchange Act concurrently, the Part I of Form S-1 format that enables the short-form Form 8-A, covering the cover page and required legends, the summary and risk factors, dilution, the plan of distribution and selling securityholders, the use of proceeds, the description of the business and property, management’s discussion and analysis, directors, executive officers and significant employees and their compensation, security ownership, interests of management and others in certain transactions, the description of the securities, and the audited financial statements, with the Tier 2 investor-limitation disclosure (or the exchange-listing exception to it) and the ongoing-reporting disclosure included.

  • Securities terms and governing documents — the instrument creating the offered security, any amendments to the charter and bylaws the offering, an OTCQX quotation, or an exchange listing will require (including the governance provisions a national exchange’s listing standards impose), and the board and shareholder resolutions authorizing the offering, the securities, and any Exchange Act registration.

  • Subscription agreement and investor documents — the subscription agreement conforming to the plan of distribution and any platform’s process, with the investor representations and acknowledgments appropriate to an unrestricted public offering, including the non-accredited investor’s representation that the investment does not exceed the 10% limitation (with the income or net-worth basis identified) or the accredited-investor representation that exempts the investor from it, the exchange-listing exception where applicable, residency, risk acknowledgments, and anti-money-laundering and sanctions representations; the investor questionnaire structured to support the investor-limitation compliance; the subscription procedures and acceptance and rejection mechanics; the wire and escrow instructions; and the closing and confirmation notices.

  • Testing-the-waters and solicitation framework — the testing-the-waters materials under Rule 255 with the required legends for the pre-filing and post-filing periods, the general-solicitation materials for the post-qualification period prepared or reviewed for consistency with the offering circular and for the required legends, the broker-dealer, underwriter, or platform engagement agreement and the finder’s-fee analysis under federal and state broker-dealer law, the escrow agreement where the offering has a minimum, the advertising-review procedure, and the solicitation-materials archive and exhibit submissions.

  • SEC review and qualification — preparation of the responses to SEC staff comment letters and the corresponding amendments to the Form 1-A, the request for qualification, the qualification-date procedures, and the post-qualification amendments or offering circular supplements under Rule 253 for material changes, pricing information, or continuous-offering updates during the offering.

  • Financial-statement coordination — coordination with the company’s independent auditors on the two years of audited financial statements the offering circular requires (including the auditing standards and auditor-registration requirements that apply where an exchange listing is sought).

  • Closing and post-offering documentation — the closing checklist, the issuance of securities through the transfer agent and the updating of the capitalization table and stock ledger, the Form 1-Z exit report where the offering is terminated or completed and reporting is ended, and the post-offering compliance toolkit: a calendar and template set for the Form 1-K annual report, the Form 1-SA semiannual report, the Form 1-U current reports and the events that trigger them, the conditions for suspending or terminating Tier 2 reporting, the Section 12(g) conditional-exemption monitoring, investor communications, and the hand-off documentation for an OTCQX application or an exchange listing.

Deliverable: a fully assembled, indexed offering binder (electronic and hard copy) containing the EDGAR-ready Form 1-A with all three parts and exhibits, the offering circular, the executed securities instrument, the subscription package, the testing-the-waters and solicitation materials with legend set, the state notice filings, the Form 8-A or Form 211 package as applicable, the ongoing-reporting templates, and the compliance procedures, with a filing checklist and a reviewer-ready version of each document for execution by the company’s officers.
