Regulation A Tier 1 Offering — Form 1-A Offering Circular and Subscription Document Preparation
Syndicate Legal Advisory Services prepares the complete legal documentation package required to conduct a Regulation A Tier 1 public offering of securities, from the Form 1-A offering statement through SEC qualification and state registration to closing. Working alongside the company’s management, its accountants, its transfer agent, and any broker-dealer, placement agent, or online investment platform engaged, we draft, assemble, and organize every document the SEC, the state securities administrators, and investors require — the offering circular, the subscription agreement and securities terms, the testing-the-waters and solicitation materials, the state registration filings, and the compliance framework — so the offering statement is filed complete, internally consistent, and positioned for qualification and state clearance without avoidable comment cycles.
Scope of work includes:
Offering structure and eligibility analysis — written assessment of the company’s eligibility to use Regulation A and the Tier 1 versus Tier 2 decision (offering size against the Tier 1 cap and the affiliate-resale sub-limit, the state registration burden at Tier 1 versus the audit, investor-limit, and ongoing-reporting obligations at Tier 2, and the company’s post-offering objectives, including any planned OTC Markets quotation), the choice of security, the plan of distribution (self-underwritten, best-efforts through a broker-dealer, or through an online platform), the use of a non-public draft submission, the integration analysis under Rule 251(c) for any concurrent or recent offerings, and the state registration route and Coordinated Review strategy, with a memo setting the structure and the preparation sequence.
Form 1-A, Part I and Part III — preparation of the structured Part I issuer and offering information for EDGAR filing, and assembly of the Part III exhibit index and exhibits: the underwriting or placement-agent agreement, the charter and bylaws, the instruments defining the rights of the securities, the subscription agreement, material contracts, the consents of accountants and other experts, the opinion of counsel as to legality, the testing-the-waters materials used, and any escrow agreement.
Form 1-A, Part II — the offering circular — drafting of the offering circular in the Form 1-A Offering Circular format (or the Part I of Form S-1 format where the company elects it), covering the cover page and the required legends, the summary and risk factors, dilution, the plan of distribution and selling securityholders, the use of proceeds, the description of the business, the description of property, management’s discussion and analysis of financial condition and results of operations, directors, executive officers and significant employees and their compensation, security ownership of management and certain securityholders, interests of management and others in certain transactions, the description of the securities, and the financial statements — with the Tier 1 accommodations applied and the content calibrated to what state examiners in a Coordinated Review will expect.
Securities terms and governing documents — the instrument creating the offered security (charter amendment or certificate of designation for a new class of stock, note or bond indenture terms, LLC unit terms, warrants, or units), any amendments to the charter and bylaws the offering or a subsequent OTC quotation will require, and the board and shareholder resolutions authorizing the offering and the securities.
Subscription agreement and investor documents — the subscription agreement conforming to the plan of distribution (including the platform’s process where one is used), with the investor representations and acknowledgments appropriate to an unrestricted public offering (receipt of the qualified offering circular, residency keyed to the states in which the offering is registered, risk acknowledgments, and anti-money-laundering and sanctions representations), the subscription procedures and the acceptance and rejection mechanics, the wire and escrow instructions, and the closing and confirmation notices.
Testing-the-waters and solicitation framework — the testing-the-waters materials under Rule 255 with the required legends for the pre-filing and post-filing periods, the general-solicitation materials for the post-qualification period (offering summary, pitch deck, website and landing-page content, email and social-media templates, and conference and webinar materials) prepared or reviewed for consistency with the offering circular and for the required legends, the broker-dealer or platform engagement agreement and the finder’s-fee analysis under federal and state broker-dealer law, the escrow agreement where the offering has a minimum, and the advertising-review procedure and solicitation-materials archive, including the submission of solicitation materials as exhibits where required.
SEC review and qualification — preparation of the responses to SEC staff comment letters and the corresponding amendments to the Form 1-A (Form 1-A/A), the request for qualification, the qualification-date procedures, and the post-qualification amendments or offering circular supplements under Rule 253 for material changes or pricing information during the offering.
Compliance procedures — the bad-actor disqualification questionnaires and certifications for the company’s covered persons under Rule 262, the twelve-month aggregation tracking against the Tier 1 cap and the affiliate sub-limit, the integration tracking, the state-by-state sales log and residency verification, the anti-money-laundering and sanctions screening procedures, and the record-keeping supporting the exemption, including the testing-the-waters and solicitation archives.
Financial-statement coordination — coordination with the company’s accountants on the two years of financial statements the offering circular requires (unaudited at Tier 1 for federal purposes, with audited statements where the state registrations require them or the company elects them for a later Tier 2 or OTC quotation), the interim financial statements and the age-of-financial-statements rules, and the presentation of the financial statements and the MD&A.
Closing and post-offering documentation — the closing checklist, the issuance of securities through the transfer agent and the updating of the capitalization table and stock ledger, the Form 1-Z exit report within thirty days after termination or completion, the state sales reports and post-effective filings, and the post-offering compliance toolkit: a calendar and template set for any state-required investor reporting, investor communications, the Section 12(g) record-holder and asset monitoring, and the hand-off documentation for an OTC Markets quotation (Form 211 current-information package) or a subsequent Tier 2 offering.
Deliverable: a fully assembled, indexed offering binder (electronic and hard copy) containing the EDGAR-ready Form 1-A with all three parts and exhibits, the offering circular with its state supplements, the executed securities instrument, the subscription package, the testing-the-waters and solicitation materials with legend set, the Coordinated Review and state registration filings, and the compliance procedures, with a filing checklist and a reviewer-ready version of each document for execution by the company’s officers.
