Syndicate Legal Advisory Services provides nationwide legal document preparation services for issuers, underwriters, and security holders preparing bleed-out (or leak-out) agreements and related materials in connection with a public offering, private placement, or other securities transaction. We prepare the Bleed-Out Agreement and supporting documents based on the commercial terms, party information, and specific instructions you provide.
Documents Commonly Prepared
We prepare documents associated with a Bleed-Out Agreement, including:
Bleed-Out (or Leak-Out) Agreement: Formatting of the principal agreement covering the securities or persons subject to the restrictions, any initial lock-up period, the bleed-out period and volume or quantity limitations on sales (such as daily or periodic caps based on trading volume or fixed amounts), permitted transfers or exceptions, representations of the holder, and related terms, based on the information and terms you supply.
Schedules and Exhibits: Organization and formatting of schedules identifying the securities or holders subject to the agreement, or other referenced materials, based on the information you provide.
Related Offering Documents Coordination Materials: Formatting of references or attachments linking to an underwriting agreement, registration statement, lock-up agreement, or other offering materials (the underlying offering documents themselves are prepared only if separately requested and based on content you supply).
Amendments or Side Letters: Preparation of amendments, waivers, or side letters modifying the bleed-out terms, based on the updated details you provide.
Signature Pages and Supporting Materials: Organization of signature pages, notices, and other administrative materials referenced in the agreement, based on the information you supply.
Documents are prepared for use by the parties in connection with a securities offering, which may be registered under the Securities Act of 1933 or conducted pursuant to an exemption. Clients remain fully responsible for determining the appropriate bleed-out scope, duration, and volume limitations, compliance with the Securities Act of 1933, the Securities Exchange Act of 1934, exchange listing rules, FINRA rules, Rule 144, and all other applicable laws; for the accuracy and completeness of all terms; and for execution, delivery, and performance of the agreement.
