Syndicate Legal Advisory Services prepares the complete legal documentation package required to list a company’s shares on the Mainboard or Catalist of Singapore Exchange Securities Trading Limited by way of a primary listing or a secondary listing. Working alongside the company’s management, the SGX-approved issue manager for a Mainboard listing (or the full sponsor for a Catalist listing), the underwriters and placement agents, the reporting auditors, and the company’s Singapore share registrar, we draft, assemble, and organize every document SGX RegCo and the Monetary Authority of Singapore require — for an initial public offering in Singapore, a listing by way of introduction, a secondary listing by a company already listed in the United States, a Catalist listing by a growth company, or a transfer from Catalist to the Mainboard — so the application is submitted complete, internally consistent, and ready for review.

Scope of work includes:

  • Pre-application and board analysis — written assessment of the company against the Mainboard quantitative admission criteria (the profit test, the profitability-and-market-capitalization test, or the market-capitalization-and-revenue test, together with the shareholding-spread, public-float, and operating-history requirements) and the Catalist suitability assessment conducted by a full sponsor, the company’s eligibility for a secondary listing on the strength of its U.S. listing, the availability of a dual-class share structure for a Mainboard listing, and the application of the Singapore take-over regime to a foreign company with a primary listing, with a gap memo identifying the achievable board and route and what must be addressed before filing.

  • Listing application package — for the Mainboard, preparation of the listing application to SGX RegCo with the issue manager’s confirmations and declarations, the directors’ and executive officers’ declarations and undertakings, the company’s undertakings to the exchange, the shareholding-spread and moratorium confirmations, the CDP eligibility confirmation, and all supporting exhibits; for Catalist, the pre-admission notification and listing application with the full sponsor’s confirmations, and the continuing-sponsor agreement; for a secondary listing, the reduced application the Listing Rules permit, incorporating the home-exchange confirmations.

  • Prospectus or offer document — drafting and coordination of the prospectus for registration with MAS under the Securities and Futures Act for a Mainboard offer, including the business, risk-factor, financial, related-party, and legal-information sections, the reporting auditors’ reports, the responsibility statements, and the underwriting and placement documentation; the offer document lodged with the exchange for a Catalist offer; the introductory document for a listing by way of introduction; or, for a secondary listing, the listing announcement and disclosure document incorporating the company’s U.S. filings.

  • U.S. securities law coordination — Regulation S and Rule 144A structuring for the Singapore and international offering, confirmation of the listing’s effect on the company’s Securities Act and Exchange Act obligations, conforming disclosure in the company’s Forms 10-K, 10-Q, and 8-K (or 20-F and 6-K), and, for a secondary listing, the documentation reconciling U.S. primary-market disclosure with Singapore requirements and the waivers available to secondary-listed companies.

  • Corporate governance and constitutional documents — amendments to the certificate of incorporation and bylaws the Listing Rules require of a foreign company (including the shareholder-protection provisions SGX requires in the constitutional documents and, where applicable, the safeguards for a dual-class structure), board and shareholder resolutions authorizing the listing and offering, the documentation of the company’s governance arrangements against the Code of Corporate Governance (applied on a comply-or-explain basis to primary-listed companies), board committee charters and independent director documentation, and the appointment of the company secretary and the Singapore resident director where required.

  • Moratorium and shareholder undertakings — the moratorium (lock-up) undertakings the Listing Rules impose on promoters, pre-IPO investors, and controlling shareholders, with the calculations supporting each holder’s moratorium period, and any voluntary lock-ups the issue manager or sponsor requires.

  • Continuous disclosure, insider, and take-over compliance — SGXNet announcement procedures and the continuous-disclosure obligations under the Listing Rules, the dealing policy and blackout periods for directors and officers, the disclosure-of-interests regime under the Securities and Futures Act for directors and substantial shareholders, the application of the Singapore Code on Take-overs and Mergers to a foreign primary-listed company, and integration with the company’s U.S. Regulation FD, Section 16, and Schedule 13D/13G procedures.

  • Depository and registrar documentation — CDP admission and book-entry arrangements, the appointment of the Singapore share registrar, the Singapore branch register where used, and the mechanism for transferring shares between DTC and CDP for a dual-listed company.

  • Exchange and regulator correspondence — preparation of responses to SGX RegCo’s listing-review queries, MAS comments on the prospectus, and the issue manager’s or sponsor’s due-diligence requests.

  • Post-listing compliance toolkit — a calendar and template set covering ongoing obligations by board and route: annual reports and half-year or quarterly results announcements, continuous disclosure through SGXNet, the annual corporate governance disclosure and sustainability report, the Catalist continuing-sponsor relationship, the reduced obligations of a secondary listing, moratorium releases, and the interaction with the company’s U.S. reporting calendar, delivered at closing.

Deliverable: a fully assembled, indexed listing application binder (electronic and hard copy) with a filing checklist mapped to SGX RegCo’s application checklist, and a reviewer-ready version of each document for execution by the company’s officers.

Engagement structure: flat-fee document preparation, scoped by board (Mainboard or Catalist) and route (primary listing by IPO or introduction, secondary listing, or Catalist-to-Mainboard transfer), with milestone billing tied to the pre-application memo, listing-application package, prospectus or offer-document registration, and listing.
