Syndicate Legal Advisory Services prepares the U.S.-side and cross-border legal documentation required to support an application to list a company’s shares on the Shenzhen Stock Exchange Main Board or ChiNext board, or to list Chinese Depositary Receipts for a qualifying offshore-incorporated company. Working under the direction of the company, PRC accounting firm, and management, we draft, assemble, and organize every document the working group requires from the U.S. side, so that the Chinese-language application prepared and filed by the PRC sponsor is complete, internally consistent, and reconciled to the company’s U.S. corporate and regulatory position.

Scope of work includes:

  • Eligibility and structure analysis — written assessment of which route is available to the company: listing of a PRC-incorporated subsidiary or foreign-invested joint stock company; the CDR pathway for an offshore-incorporated issuer; or an alternative venue (Hong Kong or a U.S. exchange) if neither applies. The memo covers board selection (Main Board or ChiNext) against the applicable financial and market-value standards, controlling-shareholder and actual-controller requirements, and the lock-up periods that will bind U.S. holders.

  • Pre-listing restructuring documents — U.S. board and shareholder resolutions, contribution and share-exchange agreements, and intercompany arrangements for converting the PRC entity into a joint stock limited company (股份有限公司), clearing the shareholding structure (eliminating nominee holdings, trusts, and contingent-equity arrangements the exchange will question), and documenting the chain of ownership from the U.S. parent to the listed issuer.

  • Cross-border regulatory filings on the U.S. side — documentation for U.S. shareholders’ outbound investment and foreign-exchange registrations with PRC authorities (SAFE Circular 37 and ODI filings where applicable), U.S. federal and state securities-law analysis confirming the listing creates no U.S. registration or reporting obligation, and CFIUS, export-control, or sanctions review memoranda where the business touches controlled technology.

  • English-language source documents for the prospectus — the business, risk-factor, related-party, intellectual-property, litigation, and management disclosure sections relating to the U.S. parent and its operations, prepared to the standard PRC counsel needs to draft the Chinese prospectus (招股说明书) and the lawyer’s work report, together with the supporting due-diligence files.

  • Corporate governance documents — articles of association for the PRC issuer conforming to CSRC and SZSE listed-company requirements (including the Code of Corporate Governance for Listed Companies and the independent-director rules), board and supervisory-board resolutions, independent director and audit committee documentation, related-party transaction and connected-party policies, and the English-language mirror versions the U.S. parent’s board will act on.

  • Shareholder and controller undertakings — share lock-up undertakings for the controlling shareholder, actual controller, directors, and senior management, non-competition and related-party undertakings, and share-reduction compliance procedures, drafted to the exchange’s required content and reconciled with any U.S. shareholder agreements they may conflict with.

  • Data, cybersecurity, and compliance review documentation — materials supporting any Cyberspace Administration of China cybersecurity or data-export review the listing triggers, and reconciliation of the company’s U.S. privacy and data-transfer obligations with its PRC obligations.

  • Review and registration correspondence — English-language drafts and supporting materials for responses to SZSE listing-review inquiry letters and CSRC registration comments, prepared for PRC counsel’s finalization and filing.

  • Post-listing compliance toolkit — a bilingual calendar and template set covering SZSE and CSRC continuous-disclosure obligations (periodic reports, material-event announcements, related-party and share-reduction disclosures), lock-up expiry tracking, and the interaction with any U.S. reporting the parent maintains, delivered at closing.

Deliverable: a fully assembled, indexed cross-border document set (electronic and hard copy) with a filing checklist mapped to the PRC sponsor’s application index, and a reviewer-ready version of each U.S.-side document for execution by the company’s officers.

Engagement structure: flat-fee document preparation, scoped by route (PRC subsidiary listing, foreign-invested joint stock company, or CDR) and board (Main Board or ChiNext), with milestone billing tied to the structure memo, restructuring package, prospectus source materials, and final sponsor submission.
