Syndicate Legal Advisory Services prepares the complete legal documentation package required to admit a company’s shares, or depository receipts representing them, to trading on a Nasdaq Nordic or Baltic exchange — the Main Market or Nasdaq First North Growth Market (including First North Premier) in Stockholm, Copenhagen, Helsinki, Reykjavik, Tallinn, Riga, or Vilnius. Working alongside the company’s management, Certified Adviser for a First North admission or the financial adviser and listing auditor for a Main Market listing, the lead manager and underwriters, independent auditors, and the company’s issuer agent and registrar, we draft, assemble, and organize every document the exchange and the national supervisory authority require — for an initial public offering, a direct listing, a dual listing by a company already listed in the United States, or a transfer from First North to the Main Market — so the application is submitted complete, internally consistent, and ready for review.
Scope of work includes:
Pre-application and market analysis — written assessment of which exchange and tier best serve the company (investor base, sector peers, currency, and local regulatory regime), the company’s position against the Main Market admission requirements (operating history, financial track record, free float, expected market value, and management and board suitability) and the First North admission requirements (free float, working capital, and Certified Adviser engagement), and the suitability of a direct share listing versus SDRs, with a gap memo identifying the achievable exchange and tier and what must be addressed before filing.
Exchange listing application package — for a Main Market listing, preparation of the listing application under the Nordic or Baltic Main Market Rulebook, the issuer’s undertakings and declarations, the listing auditor’s review documentation and the legal examination report the exchange requires, the free-float and shareholder-distribution confirmations, and the submission to the exchange’s listing committee; for First North, the application for admission, the Certified Adviser’s agreement and declarations, the company description where no prospectus is required, and the exchange’s required undertakings; in both cases, the settlement and securities-identification confirmations and all supporting exhibits.
Prospectus or company description — for a Main Market admission or a public offering, drafting and coordination of the prospectus under the EU Prospectus Regulation (including the EU Growth prospectus where available) for approval by the national supervisory authority, with passporting notifications for offers in other EEA states; for First North, the company description reviewed by the exchange and the Certified Adviser; and the documentation establishing that a prospectus exemption applies for a dual listing with no public offer.
U.S. securities law coordination — Regulation S structuring for any Nordic, Baltic, or EEA placement, confirmation that the admission creates no new Securities Act or Exchange Act registration obligation, conforming disclosure in the company’s U.S. periodic reports, the U.S. transfer restrictions applicable to the shares or SDRs where relevant, and reconciliation of the European and U.S. disclosure timetables so that one event is announced consistently in both markets.
Corporate governance and constitutional documents — board and shareholder resolutions authorizing the admission and any offering; charter or bylaw amendments the exchange or the chosen country’s rules require of a foreign issuer; the corporate governance report required by the applicable national code (the Swedish, Danish, Finnish, or Icelandic corporate governance codes, applied on a comply-or-explain basis, or the home-country code where the exchange permits a foreign issuer to apply it); board committee charters and independent director documentation; and the nomination committee or equivalent arrangements the Nordic markets expect.
Market abuse, transparency, and takeover compliance — inside-information disclosure procedures, insider lists, persons-discharging-managerial-responsibilities dealing policies and notification templates, and closed-period controls under the EU Market Abuse Regulation; major-holdings notification procedures under the Transparency Directive as implemented in the chosen country; the applicable takeover rules (including the exchange-level takeover rules in Sweden and the national rules elsewhere) and their application to a foreign issuer; and integration with the company’s U.S. Regulation FD, Section 16, and Schedule 13D/13G procedures.
Settlement, registrar, and depositary documentation — eligibility and book-entry arrangements with the national CSD, the issuer agent and registrar appointments, the mechanism for transferring shares between DTC and the national CSD for a dual-listed company, and, for an SDR structure, the depositary agreement with the Swedish depositary bank, the SDR terms, and the voting-instruction and dividend mechanics.
Exchange and regulator correspondence — preparation of responses to the exchange’s listing-review and listing-committee comments, the national supervisory authority’s prospectus comments, and the Certified Adviser’s, listing auditor’s, or lead manager’s due-diligence requests.
Post-admission compliance toolkit — a calendar and template set covering ongoing obligations by tier: annual and half-year financial reports (and the quarterly reporting that First North Premier and Main Market practice expect), MAR disclosure, the annual corporate governance report, the exchange’s disclosure and notification requirements, the Certified Adviser relationship for First North companies, continued-admission monitoring, and the interaction with the company’s U.S. reporting calendar, delivered at closing.
Deliverable: a fully assembled, indexed admission binder (electronic and hard copy) with a filing checklist mapped to the exchange’s application requirements, and a reviewer-ready version of each document for execution by the company’s officers.
Engagement structure: flat-fee document preparation, scoped by exchange, tier (Main Market or First North, including First North Premier), structure (direct share listing or SDRs), and route (IPO, direct listing, dual listing, or First North-to-Main Market transfer), with milestone billing tied to the pre-application memo, draft package, prospectus or company-description approval, and admission.
