Syndicate Legal Advisory Services prepares the complete legal documentation package required to admit a company’s shares to the Official List and to trading on the Main Market of the London Stock Exchange, or to trading on AIM. Working alongside the company’s management, the FCA-approved sponsor for a Main Market listing (or the Nominated Adviser for an AIM admission), the broker and underwriters, the reporting accountants, and the company’s depositary and registrar, we draft, assemble, and organize every document the FCA and the Exchange require — for an initial public offering in London, a direct listing, a secondary listing on the Main Market or a designated-market admission to AIM by a company already listed in the United States, an AIM admission by a growth company, or a move from AIM to the Main Market — so the application is submitted complete, internally consistent, and ready for review.
Scope of work includes:
Pre-application and route analysis — written assessment of the company’s position against the eligibility requirements of the Main Market listing categories (the Equity Shares (Commercial Companies) category’s requirements on control of the business, free float, and expected market capitalization, or the international secondary listing category’s requirements for an overseas company primary-listed on a qualifying exchange) and AIM’s admission criteria (including the Nomad’s suitability assessment, working capital, and free-float expectations), the company’s eligibility for the AIM designated-market route on the strength of its U.S. listing, the application of the UK Takeover Code to a U.S. company (which turns on where its central management and control are located), and the index-eligibility consequences of each route, with a gap memo identifying the achievable route and what must be addressed before filing.
Main Market application package — preparation of the application for admission to the Official List to the FCA and the application for admission to trading to the Exchange, the sponsor’s declarations and confirmations under the Listing Rules, the directors’ responsibility statements and the sponsor’s director questionnaires, the working-capital and financial-position-and-prospects-procedures documentation the sponsor requires, the free-float and shareholder-distribution confirmations, the CREST and depositary-interest eligibility confirmations, and all supporting exhibits; for the international secondary listing category, the reduced application the Listing Rules permit.
AIM admission package — preparation of the Schedule One pre-admission announcement, the AIM admission application and the Nomad’s declaration, the directors’ declarations and the Nomad’s director questionnaires, the working-capital and financial-position-and-prospects documentation, the lock-in undertakings the AIM Rules require of directors and substantial shareholders for companies without a two-year trading record, and all supporting exhibits; for the designated-market route, the expanded Schedule One announcement that replaces the admission document.
Prospectus or admission document — for a Main Market listing or a public offer, drafting and coordination of the prospectus for approval by the FCA under the UK prospectus regime (including the Public Offers and Admissions to Trading Regulations from their effective date), including the business, risk-factor, operating-and-financial-review, historical-financial-information, and working-capital sections, the responsibility statements, the verification process and due-diligence documentation, and the underwriting and placing agreement; for AIM, the admission document under the AIM Rules; and, for a designated-market admission, the documentation incorporating the company’s U.S. filings.
U.S. securities law coordination — Regulation S and Rule 144A structuring for the UK and international offering, confirmation of the listing’s effect on the company’s Securities Act and Exchange Act obligations, the U.S. transfer restrictions applicable to the depositary interests where relevant, conforming disclosure in the company’s Forms 10-K, 10-Q, and 8-K (or 20-F and 6-K), and reconciliation of the UK and U.S. disclosure timetables so that one event is announced consistently in both markets.
Corporate governance and constitutional documents — amendments to the certificate of incorporation and bylaws the listing requires (including pre-emption, disclosure-of-interests, and other shareholder-protection provisions UK investors expect of an overseas company), board and shareholder resolutions authorizing the listing and offering, the documentation of the company’s governance arrangements against the UK Corporate Governance Code (applied on a comply-or-explain basis in the commercial companies category) or the QCA Corporate Governance Code (the code AIM companies most commonly adopt under AIM Rule 26), board committee charters and independent director documentation, and the AIM Rule 26 website disclosure.
Market abuse, transparency, and takeover compliance — inside-information disclosure procedures, insider lists, persons-discharging-managerial-responsibilities dealing policies and notification templates, and closed-period controls under the UK Market Abuse Regulation; the Disclosure Guidance and Transparency Rules’ periodic reporting and vote-holder notification obligations for Main Market companies, and the AIM Rules’ equivalent for AIM companies; the share dealing code the AIM Rules require; the UK Takeover Code’s application and any rule-based protections the company adopts if the Code does not apply; and integration with the company’s U.S. Regulation FD, Section 16, and Schedule 13D/13G procedures.
Depositary-interest, CREST, and registrar documentation — the depositary-interest deed poll and depositary arrangements under which the company’s U.S. shares are held in CREST, the UK registrar appointment, the CREST eligibility confirmation, and the mechanism for transferring shares between DTC and the depositary-interest register for a dual-listed company.
FCA and Exchange correspondence — preparation of responses to FCA comments on the prospectus and the eligibility review, the Exchange’s admission queries, and the sponsor’s or Nomad’s due-diligence requests.
Post-admission compliance toolkit — a calendar and template set covering ongoing obligations by market and category: annual and half-year reports under the DTRs or the AIM Rules, UK MAR disclosure through a Regulatory Information Service, the annual corporate governance statement, the Listing Rules’ continuing obligations for the commercial companies category (including the significant-transaction and related-party-transaction disclosure regime) or the reduced obligations of the international secondary listing category, the Nomad relationship and AIM Rule 26 website for AIM companies, and the interaction with the company’s U.S. reporting calendar, delivered at closing.
Deliverable: a fully assembled, indexed admission binder (electronic and hard copy) with a filing checklist mapped to the FCA’s and the Exchange’s application requirements, and a reviewer-ready version of each document for execution by the company’s officers.
