Syndicate Legal Advisory Services prepares the complete legal documentation package required to list a company’s shares on the Main Board or GEM of The Stock Exchange of Hong Kong Limited. Working alongside the company’s management, Hong Kong advisers, the sponsor, the reporting accountant, and the company’s Hong Kong share registrar, we draft, assemble, and organize every document the Exchange, the Securities and Futures Commission, and the Companies Registry require — for a primary listing by way of initial public offering or introduction, a Chapter 19C secondary listing by a company already listed on a U.S. exchange, a Chapter 18A or 18C listing by a pre-revenue biotech or specialist technology company, or a transfer from GEM to the Main Board — so the application is submitted complete, internally consistent, and ready for review.

Scope of work includes:

  • Pre-application and route analysis — written assessment of the company against the Main Board’s three financial eligibility tests, the GEM admission requirements (including the alternative test for research-and-development companies), and the special regimes under Chapters 18A, 18C, 8A, and 19C, together with the overseas-issuer shareholder-protection standards a U.S. corporation must satisfy, the sophisticated-investor and market-capitalization thresholds where applicable, and the management-continuity, ownership-continuity, and trading-record requirements, with a gap memo identifying the achievable route and what must be addressed before filing.

  • Exchange listing application package — preparation of the Form A1 listing application and its supporting submissions, the advanced application proof of the listing document, the sponsor’s undertakings and declarations, the directors’ and supervisors’ declarations and undertakings, the listing agreement and issuer undertakings, the public-float and shareholder-spread confirmations, and all supporting exhibits in the form the Listing Division requires.

  • Listing document and prospectus — drafting and coordination of the listing document (prospectus) under the Listing Rules and the Companies (Winding Up and Miscellaneous Provisions) Ordinance, including the business, risk-factor, financial-information, connected-transaction, and regulatory-overview sections and the waivers application; the post-hearing information pack; the Hong Kong public-offer and international-placing documentation; and, for a secondary listing, the streamlined listing document permitted under Chapter 19C.

  • U.S. securities law coordination — Regulation S and Rule 144A structuring for the international offering, confirmation of the listing’s effect on the company’s Securities Act and Exchange Act obligations, conforming disclosure in the company’s Forms 10-K, 10-Q, and 8-K (or 20-F and 6-K), and, for a Chapter 19C issuer, the documentation reconciling U.S. primary-market disclosure with Hong Kong requirements and the automatic waivers available to secondary-listed companies.

  • Corporate governance and constitutional documents — amendments to the company’s certificate of incorporation and bylaws (or adoption of a Hong Kong-compliant memorandum and articles) to meet the Exchange’s core shareholder-protection standards for overseas issuers; board and shareholder resolutions authorizing the listing; board committee charters (audit, remuneration, nomination) and independent non-executive director appointments; and the Corporate Governance Code and ESG reporting frameworks under the Listing Rules appendices, with weighted-voting-rights safeguards where Chapter 8A applies.

  • Connected and notifiable transaction documentation — identification and documentation of connected persons and connected transactions under Chapter 14A, waivers for continuing connected transactions, and the notifiable-transaction procedures under Chapter 14, reconciled with the company’s U.S. related-party policies.

  • Inside information and disclosure-of-interests compliance — inside-information disclosure procedures under Part XIVA of the Securities and Futures Ordinance, the Model Code for securities transactions by directors, disclosure-of-interests filings under Part XV of the SFO for directors, chief executives, and substantial shareholders, and integration with the company’s U.S. Regulation FD, Section 16, and Schedule 13D/13G procedures.

  • Settlement and registrar documentation — CCASS admission, the Hong Kong branch share register and share registrar appointment, the arrangements for transferring shares between the U.S. and Hong Kong registers (or between DTC and CCASS), and stamp-duty and fungibility arrangements for a dual-listed company.

  • Exchange and regulator correspondence — preparation of responses to Listing Division comment letters, Listing Committee hearing submissions, SFC dual-filing comments, and the sponsor’s due-diligence requests.

  • Post-listing compliance toolkit — a calendar and template set covering ongoing Listing Rule obligations: annual and interim reports, results announcements, the annual Corporate Governance Report and ESG Report, monthly returns, inside-information announcements, connected- and notifiable-transaction compliance, and the interaction with the company’s U.S. reporting calendar, delivered at closing.

Deliverable: a fully assembled, indexed listing application binder (electronic and hard copy) with a filing checklist mapped to the Exchange’s application checklist, and a reviewer-ready version of each document for execution by the company.

Engagement structure: flat-fee document preparation, scoped by board (Main Board or GEM) and route (primary IPO, introduction, Chapter 19C secondary listing, Chapter 18A/18C, or GEM-to-Main Board transfer), with milestone billing tied to the pre-application memo, Form A1 submission package, listing-document drafts, and Listing Committee hearing.
