Syndicate Legal Advisory Services prepares the complete legal documentation package required to admit a company’s shares to trading on Cboe Europe’s regulated venues: Cboe UK (Cboe Europe Limited, a Recognised Investment Exchange regulated by the UK Financial Conduct Authority) and Cboe NL (Cboe Europe B.V., a Regulated Market in Amsterdam supervised by the Netherlands Authority for the Financial Markets). We support all three Cboe Europe listing pathways — a Primary Listing, a Secondary Listing for companies already listed on an approved overseas exchange, and Cboe Intralisting for companies already listed on a Cboe exchange in the United States, Canada, or Australia. Working alongside the company’s management, independent auditors, and the advisers Cboe Europe requires for the chosen pathway, we draft, assemble, and organize every document the exchange and the relevant competent authority require.
Scope of work includes:
Pathway and venue analysis — written assessment of whether the company qualifies for Secondary Listing or Intralisting (on the strength of its existing NYSE, Nasdaq, or Cboe BZX listing) or must proceed by Primary Listing, and whether Cboe UK, Cboe NL, or both best serve the company’s investor-targeting and currency objectives, with a gap memo on eligibility, free-float, and governance requirements.
Admission application package — preparation of the Cboe Europe listing application, admission agreement, issuer undertakings, and all supporting exhibits, including the share capital and shareholder distribution schedule, settlement and depositary arrangements (CREST, Euroclear, or depositary interests over U.S.-registered shares), and the exchange’s required declarations.
Prospectus or admission document — for a Primary Listing or a capital raise, drafting and coordination of the prospectus or admission document required under the UK or EU prospectus regime for approval by the FCA or AFM, or the documentation establishing that an exemption applies for a Secondary Listing or Intralisting with no public offer.
U.S. securities law coordination — documentation reconciling the European admission with the company’s U.S. obligations: Regulation S structuring for any European placement, confirmation that the admission creates no new Exchange Act or Securities Act registration requirement, and conforming disclosure in the company’s Forms 10-K, 10-Q, and 8-K or Forms 20-F and 6-K.
Corporate governance and constitutional documents — board resolutions and shareholder approvals authorizing the admission; any charter or bylaw amendments the pathway requires; and, for a Primary Listing, the governance documentation Cboe Europe’s full listing framework calls for. For Secondary Listings, documentation evidencing continued compliance with the home exchange’s rules on which Cboe Europe relies.
Market abuse and disclosure compliance — inside-information disclosure procedures, insider lists, PDMR (persons discharging managerial responsibilities) dealing policies and notification templates, and closed-period controls under the UK Market Abuse Regulation or EU MAR, integrated with the company’s existing U.S. Regulation FD and insider-trading policies so that one disclosure event is handled consistently in both jurisdictions.
Exchange and regulator correspondence — preparation of responses to Cboe Europe listings-team comments and to FCA or AFM review comments on any prospectus.
Intralisting expansion documents — for companies using the Intralisting pathway, the streamlined cross-listing documentation to extend the listing across Cboe’s other exchanges.
Post-admission compliance toolkit — a calendar and template set covering ongoing Cboe Europe obligations, periodic financial reporting and announcement requirements in the UK or Netherlands, annual confirmations, and the interaction with the company’s U.S. reporting calendar, delivered at closing.
Deliverable: a fully assembled, indexed admission binder (electronic and hard copy) with a filing checklist and a reviewer-ready version of each document for execution by the company.
Engagement structure: flat-fee document preparation, scoped by pathway (Primary Listing, Secondary Listing, or Intralisting) and venue (Cboe UK, Cboe NL, or both), with milestone billing tied to the pathway memo, draft package, and final submission.
