Syndicate Legal Advisory Services prepares the complete legal documentation package required to list a company’s shares on the Cayman Islands Stock Exchange by way of a primary listing or a secondary listing of a company already listed on a recognized exchange. Working alongside the company’s management, the CSX-approved Listing Agent, independent auditors, and the company’s registrar, we draft, assemble, and organize every document the CSX requires under its Listing Rules — for a primary equity listing with or without a capital raise, a secondary listing by a company already listed in the United States, or the listing of a Cayman holding company established for the purpose — so the application is submitted complete, internally consistent, and ready for review.

Scope of work includes:

  • Pre-application and route analysis — written assessment of the company against the equity-securities chapter of the CSX Listing Rules (the trading-record requirement and the conditions for its waiver, audited financial statements, the public-shareholder and free-float expectations, and management and board suitability), the secondary-listing eligibility of the company’s U.S. listing, the suitability of listing the company directly versus through a Cayman holding company, and the regulatory recognitions of the CSX that bear on the company’s objectives (the SEC’s designated-offshore-securities-market status for Regulation S offerings, HMRC recognized-stock-exchange status, and other regulator recognitions relevant to institutional mandates), with a gap memo identifying the achievable route and what must be addressed before filing.

  • Listing application package — preparation of the formal listing application and the supporting documents the Listing Rules prescribe, the Listing Agent’s appointment, undertakings, and declarations, the directors’ declarations and the company’s undertakings to the exchange (including the undertaking to comply with the continuing obligations), the share-capital and shareholder schedules, the registrar confirmation, the listing-fee and annual-fee acknowledgments, and all supporting exhibits; for a secondary listing, the reduced application the Listing Rules permit, incorporating the home-exchange confirmations and the company’s U.S. filings.

  • Listing document — drafting and coordination of the listing document the CSX requires for a primary listing, prepared to the content requirements of the equity-securities chapter (and, where an offer is made, in compliance with Cayman Islands law on offering documents), including the business, risk-factor, financial, related-party, and legal sections, the auditors’ reports, and the responsibility statements; for a secondary listing, the summary listing document or listing announcement the CSX accepts, incorporating the company’s U.S. filings by reference.

  • U.S. securities law coordination — Regulation S structuring for any offering made in connection with the listing, including the use of the CSX’s designated-offshore-securities-market status to satisfy the offshore-transaction requirements, confirmation that the listing creates no new Securities Act or Exchange Act registration obligation, the U.S. transfer restrictions applicable to the listed shares where relevant, conforming disclosure in the company’s U.S. periodic reports, and reconciliation of the CSX and U.S. disclosure timetables.

  • Corporate governance and constitutional documents — amendments to the certificate of incorporation and bylaws the Listing Rules require of an applicant, board and shareholder resolutions authorizing the listing and any offering, the documentation of the company’s governance arrangements in the form the CSX expects, and, where the company lists through a Cayman holding company, the memorandum and articles of association of the Cayman issuer, the Cayman Companies Act compliance documents, the share-exchange or contribution agreements establishing the holding structure, and the economic-substance and beneficial-ownership documentation the Cayman regime requires.

  • Continuing-obligations and insider compliance — price-sensitive-information announcement procedures under the CSX’s continuing obligations, the dealing restrictions for directors and insiders, the notification of significant shareholdings, and integration with the company’s U.S. Regulation FD, Section 16, and Schedule 13D/13G procedures.

  • Registrar and settlement documentation — the registrar appointment and the share-register arrangements the CSX requires, the arrangements for holding and transferring the listed shares (including any depositary or custody arrangement needed to connect the CSX listing with DTC-held shares for a dual-listed company), and the CSX trading-platform arrangements where trading is intended.

  • Exchange correspondence — preparation of responses to CSX listing-review queries and the Listing Agent’s due-diligence requests.

  • Post-listing compliance toolkit — a calendar and template set covering ongoing obligations by route: annual audited financial statements and interim reports under the Listing Rules, price-sensitive announcements through the exchange, the annual fee and listing confirmation, the reduced obligations of a secondary listing, the Cayman holding company’s annual filings and economic-substance notifications where applicable, and the interaction with the company’s U.S. reporting calendar, delivered at closing.

Deliverable: a fully assembled, indexed listing application binder (electronic and hard copy) with a filing checklist mapped to the CSX Listing Rules’ document requirements, and a reviewer-ready version of each document for execution by the company’s officers.

Engagement structure: flat-fee document preparation, scoped by route (primary listing with or without an offering, secondary listing by a U.S.-listed company, or listing through a Cayman holding company), with milestone billing tied to the pre-application memo, listing-application package, listing-document approval, and listing.
