Syndicate Legal Advisory Services prepares the complete legal documentation package required to list a company’s securities on B3 — through a sponsored Brazilian Depositary Receipt program at Level I, II, or III, or through the listing of the company’s Brazilian-incorporated subsidiary in a B3 listing segment. Working alongside the company’s management, the Brazilian depositary institution and home-market custodian, the lead coordinator and underwriting syndicate for a public offering, the CVM-registered independent auditors, and B3’s central depository, we draft, assemble, and organize every document B3 and the CVM require — for a Level I BDR program by a company already listed in the United States, a Level II or III program with CVM foreign-issuer registration and, at Level III, a Brazilian public offering, or an initial public offering of a Brazilian subsidiary in Novo Mercado or another segment — so the application is submitted complete, internally consistent, and ready for review.

Scope of work includes:

  • Route and eligibility analysis — written assessment of the available route: a BDR program at the level matching the company’s objectives (Level I for a trading line with minimal regulatory burden, Level II for exchange trading with CVM registration, Level III for a capital raise in Brazil), including whether the company’s U.S. listing qualifies as a recognized foreign market and whether the predominant-Brazilian-assets conditions apply; or a Brazilian-subsidiary IPO, with the choice of listing segment (Novo Mercado, Nível 2, Nível 1, Bovespa Mais, or Basic) and its governance consequences. The memo also covers the Brazilian foreign-capital registration and tax treatment of the chosen structure.

  • BDR program documents — the deposit agreement between the company and the Brazilian depositary institution, the custody agreement with the home-market custodian, the BDR terms (ratio, dividend conversion, voting-instruction mechanics, and cancellation rights), the depositary’s and company’s undertakings to B3, the Central Bank foreign-capital registration for the program, and the B3 application for admission of the BDRs to trading.

  • CVM foreign-issuer registration and public-offering documents — for Level II and III programs, the application for CVM registration as a foreign issuer under the CVM issuer-registration resolution, the Reference Form (Formulário de Referência) and its periodic updates, and, for Level III, the public-offering registration under the CVM offering resolution, the Portuguese-language prospectus and offering documents, the lead coordinator’s due-diligence materials, and the price-setting and distribution documentation; for a Brazilian-subsidiary IPO, the same CVM registration and offering documents for the Brazilian issuer.

  • Brazilian-subsidiary structuring documents — where the subsidiary route is chosen, U.S. board and shareholder resolutions, contribution and share-exchange agreements, and intercompany arrangements for positioning the Brazilian entity as the issuer, its conversion to a sociedade anônima under the Brazilian Corporations Law, and the documentation of the chain of ownership and control from the U.S. parent that the CVM and the lead coordinator will examine.

  • U.S. securities law and cross-border coordination — Regulation S structuring for a Brazilian offering, the U.S. treatment of BDRs and the underlying shares, confirmation that the program creates no new Securities Act or Exchange Act registration obligation, conforming disclosure in the company’s U.S. periodic reports, Central Bank foreign-exchange and foreign-capital registrations, and reconciliation of the Brazilian and U.S. disclosure timetables.

  • Corporate governance documents — for a Brazilian-subsidiary listing, the bylaws (estatuto social) conforming to the chosen B3 segment’s rules (including Novo Mercado’s requirements for an independent-director minimum, audit committee, compliance and internal-audit functions, and tag-along rights) and the Brazilian Corporations Law; for a BDR program, the documentation of the company’s home-country governance and the disclosure B3 and the CVM require of foreign issuers; in both cases, board and shareholder resolutions authorizing the program or listing, and English-language mirror versions the U.S. board will act on.

  • Disclosure and insider compliance — material-fact disclosure procedures under the CVM’s material-fact resolution, the securities trading policy and blackout rules under the CVM’s insider-trading resolution, the disclosure of significant shareholdings and insider transactions, the investor relations officer appointment required of CVM-registered issuers, and integration with the company’s U.S. Regulation FD, Section 16, and Schedule 13D/13G procedures.

  • Settlement and depository documentation — B3 central depository eligibility for the BDRs or shares, the registrar (escriturador) appointment, the custody chain between the home-market custodian and the Brazilian depositary, and the issuance and cancellation mechanics for moving between BDRs and shares held through DTC.

  • Exchange and regulator correspondence — preparation of English-language drafts and supporting materials for responses to CVM comments on the issuer registration, Reference Form, or offering documents, B3 admission queries, and the lead coordinator’s due-diligence requests, for finalization and filing by Brazilian counsel.

  • Post-listing compliance toolkit — a bilingual calendar and template set covering ongoing obligations: for CVM-registered issuers, the annual and quarterly financial information filings (DFP and ITR), the Reference Form update cycle, material-fact and notice-to-the-market disclosures, and shareholder meeting procedures; for Level I programs, the home-market disclosure pass-through obligations; the B3 segment-specific requirements; and the interaction with the company’s U.S. reporting calendar, delivered at closing.

Deliverable: a fully assembled, indexed program or listing binder (electronic and hard copy) with a filing checklist mapped to the CVM and B3 document lists, and a reviewer-ready version of each document for execution by the company’s officers.

Engagement structure: flat-fee document preparation, scoped by route (BDR Level I, II, or III, or Brazilian-subsidiary IPO), segment, and whether a public offering in Brazil is included, with milestone billing tied to the route memo, program or registration package, offering documents, and admission.
