Syndicate Legal Advisory Services prepares the complete legal documentation package required to admit a company to the official list of ASX Limited and to quote its shares, or CHESS Depositary Interests representing them, on the Australian Securities Exchange. Working alongside the company’s management, the lead manager and underwriter, the investigating accountant and auditors, and the company’s Australian share registry, we draft, assemble, and organize every document ASX and ASIC require — for an initial public offering in Australia, a compliance listing with no capital raise, a dual listing by a company already listed in the United States (as a Standard or, where eligible, Foreign Exempt listing), or a backdoor listing through an existing ASX-listed entity — so the application is submitted complete, internally consistent, and ready for review.

Scope of work includes:

  • Pre-application analysis — written assessment of the company against the ASX admission requirements (the profit test or the assets test, the minimum shareholder spread and parcel-size requirements, the free-float requirement, the minimum issue price, and the working-capital and operating-structure conditions), the Foreign Exempt Listing size thresholds for a company already listed overseas, ASX’s discretion to refuse admission, and the “good fame and character” requirements for directors and proposed directors, with a gap memo identifying the achievable category and what must be addressed before filing.

  • ASX listing application package — preparation of the Appendix 1A ASX Listing Application and Agreement with its Information Form and Checklist, the Appendix 1B for a Foreign Exempt Listing where applicable, the director questionnaires and the national criminal-history and bankruptcy checks each director must provide, the statutory declarations and the company’s undertakings, the shareholder-spread and free-float analysis, the Appendix 2A applications for quotation, and all supporting exhibits in the form ASX Listings Compliance requires.

  • Prospectus or information memorandum — drafting and coordination of the prospectus under Chapter 6D of the Corporations Act for lodgement with ASIC, including the investigating accountant’s report, the verification process and due-diligence committee documentation, and the exposure-period procedures; or the information memorandum for a compliance listing; and the documentation supporting any ASIC relief the structure requires.

  • CDI and depositary documentation — the arrangements with the CHESS depositary nominee for the issue of CHESS Depositary Interests over the company’s shares, the CDI ratio and terms, the voting-direction and dividend-pass-through mechanics for CDI holders, the Australian share registry appointment, and the mechanism for converting between CDIs and shares held through DTC for a dual-listed company.

  • U.S. securities law coordination — Regulation S structuring for the Australian offering, the U.S. selling and transfer restrictions on CDIs (including the “FOR US” designation and transfer-restriction mechanics ASX applies to securities of U.S. companies that are restricted under U.S. law), confirmation of the listing’s effect on the company’s Securities Act and Exchange Act obligations, conforming disclosure in any U.S. periodic reports, and reconciliation of the Australian and U.S. disclosure timetables.

  • Constitutional and governance documents — amendments to the certificate of incorporation and bylaws ASX requires of a foreign company (including provisions ASX requires in lieu of the Australian takeover regime, restrictions on the issue of securities, and shareholder-approval provisions corresponding to the Listing Rules), board and shareholder resolutions authorizing the listing and offering, the corporate governance statement and Appendix 4G against the ASX Corporate Governance Council’s Principles and Recommendations on an “if not, why not” basis, board committee charters, and the securities trading policy the Listing Rules require.

  • Escrow and restricted-securities documentation — the restricted-securities agreements and ASX-imposed escrow under Chapter 9 of the Listing Rules for promoters, seed investors, and related parties, with the calculations supporting each holder’s escrow period, and any voluntary escrow arrangements the lead manager requires.

  • Continuous disclosure and director-interest compliance — continuous-disclosure procedures under Listing Rule 3.1 and the Corporations Act, the disclosure of director interests through Appendices 3X, 3Y, and 3Z, substantial-holder notices for 5%-plus holders, and integration with the company’s U.S. Regulation FD, Section 16, and Schedule 13D/13G procedures.

  • ASX and ASIC correspondence — preparation of responses to ASX Listings Compliance queries during the admission process (including requests for waivers from the Listing Rules and ASX’s in-principle advice process), ASIC comments on the prospectus, and the lead manager’s and due-diligence committee’s requests.

  • Post-listing compliance toolkit — a calendar and template set covering ongoing obligations: periodic reporting (Appendix 4C and 4E, half-year and annual reports, and the Appendix 4G governance statement), continuous disclosure, the Appendix 3B notification of new issues and the placement-capacity limits under Listing Rules 7.1 and 7.1A, annual general meeting requirements for a foreign company, escrow releases, and the interaction with any U.S. reporting the company maintains, delivered at closing.

Deliverable: a fully assembled, indexed listing application binder (electronic and hard copy) with a filing checklist mapped to the Appendix 1A checklist, and a reviewer-ready version of each document for execution by the company’s officers.

Engagement structure: flat-fee document preparation, scoped by listing category (Standard or Foreign Exempt), structure (direct share quotation or CDIs), and route (Australian IPO, compliance listing, dual listing, or backdoor listing), with milestone billing tied to the pre-application memo, draft package, prospectus lodgement, and admission.
