Syndicate Legal Advisory Services prepares the complete set of documents required to form a nonprofit religious corporation — the form used for churches, synagogues, mosques, temples, and other houses of worship, religious orders and associations, denominational bodies, missions, and ministries organized primarily or exclusively for religious purposes — in California under Part 4 of the Nonprofit Corporation Law and in the other states whose nonprofit statutes recognize the religious corporation category, to organize it, and to establish its governance, tax-exemption, and compliance framework from the first day of operation. Working from the client’s answers to a structured intake and from the organization’s statement of faith, polity, and any denominational requirements, we draft, assemble, and organize every incorporation document, custom bylaws built around the organization’s chosen form of church government, the organizational resolutions and governance policies, the federal and state tax-exemption documentation appropriate to a religious organization, and the post-incorporation compliance calendar, so the corporation is formed correctly, governed by documents that reflect its religious polity and satisfy the statute, and positioned to claim and keep its exemption. State filing fees, IRS user fees, registered-agent fees, and other third-party charges are not included in the flat fee and are the sole responsibility of the client.

Scope of work includes:

  • Formation, polity, and exemption planning — a structured intake and written summary confirming the state of incorporation and that the religious form (rather than a public benefit corporation) fits the organization’s purpose; the organization’s polity — congregational, presbyterian or elder-led, episcopal or hierarchical, or a hybrid — and how it will be translated into the corporate structure of members, directors or trustees, and officers; whether the corporation will have statutory members (the congregation) or be governed by a self-perpetuating board; any denominational affiliation and the constitutional, property, or governance requirements the denomination imposes; the clergy and their roles, compensation, and housing arrangements; whether the organization is a church that is exempt without applying to the IRS or a religious organization that should obtain a determination letter; the corporate name and registered agent; and any schools, daycare, counseling, or other programs that carry their own licensing and liability considerations.

  • Name availability — the name-availability search and reservation filing where wanted, a preliminary trademark-conflict screen, and the assumed-name filing where the organization will operate ministries under other names.

  • Articles of incorporation — preparation of the articles in the form the nonprofit statute requires for a religious corporation, including the statement that the corporation is a nonprofit religious corporation organized under the applicable law, the religious purpose statement, the registered agent and incorporator, and the provisions the Section 501(c)(3) organizational test requires: the limitation of purposes and activities to religious and other exempt purposes, the prohibitions on private inurement, political campaign intervention, and substantial lobbying, the irrevocable dedication of assets to religious or charitable purposes, and the dissolution clause directing assets to another exempt organization (or to the denomination where its rules require), together with the optional provisions on director liability limitation and indemnification and the statement of faith where the organization wants it in the articles.

  • Custom bylaws — bylaws written for the organization’s specific polity, addressing: the statement of faith and its place in membership and leadership qualifications; the members, if any — admission, qualifications, rights, discipline and removal with the procedures the organization’s beliefs and the statute require, and the matters reserved to a congregational vote; the governing board (directors, elders, trustees, or council) — its size, qualifications, selection, terms, vacancies, removal, meetings, quorum, voting, action by written consent, and committees; the pastor, rabbi, imam, or other clergy — selection, authority, relationship to the board, and removal; the officers and their duties; the conflict-of-interest and interested-person procedures; the ordination, licensing, and ministerial-standards provisions where the organization ordains; the ownership and control of real property and the denominational trust or reversion provisions where applicable; the handling of designated gifts and restricted funds; records and the privacy of membership and pastoral-counseling records; indemnification and insurance; the dispute-resolution provisions the organization’s beliefs call for; and the amendment procedures.

  • Governance policies — the conflict-of-interest policy, the executive and clergy compensation policy with the housing-allowance designation procedure, the benevolence-fund policy, the designated-gift and restricted-fund policy, the child-protection and safe-ministry policy, the facilities-use policy, the whistleblower and document-retention policies, and the counseling and confidentiality policy where the organization offers pastoral care.

  • Organizational resolutions and initial records — the incorporator’s action and the board’s organizational consent adopting the bylaws and policies, electing officers, confirming the initial board, calling or appointing the initial clergy and designating the housing allowance, adopting the fiscal year and initial budget, authorizing the bank account, tax identification, and exemption filings, and ratifying the incorporation; the member and director rosters; and the corporate record book index.

  • Tax identification and exemption documentation — the federal employer identification number application; for a church, the documentation of its automatic exemption under Section 508(c)(1)(A) and, where the organization elects it, the Form 1023 application for a determination letter; for other religious organizations, the Form 1023 or 1023-EZ application with the narrative, financial data, and supporting exhibits; the state income or franchise tax exemption application; the state sales-tax, property-tax, and welfare or church exemptions where available; the state employer registrations; and the documentation for the clergy’s dual tax status, the housing allowance, and the optional exemption from employer FICA under Form 8274 where elected.

Deliverable: a complete, indexed corporate record book (electronic and hard copy) containing the filed or file-ready articles, the executed bylaws, the governance policies, the organizational consents, the member and director rosters, the tax identification and exemption documentation, the compliance filings, and the compliance calendar, with a filing checklist and signature-ready versions of each document for execution by the incorporator, directors, and officers.
