Syndicate Legal Advisory Services prepares the complete set of documents required to amend the formation document of an existing business entity — the articles or certificate of organization of a limited liability company, the certificate of limited partnership, the statement of qualification of a limited liability partnership, the statement of partnership authority of a general partnership, the articles of a cooperative, or the articles or certificate of incorporation of a corporation — in any U.S. state, together with the conforming changes to the entity’s governing agreement and records and the filings the amendment triggers in other states. Common amendments include a change of name, purpose, or duration; a change in authorized shares, units, or classes of interest, including the creation of a new class or series for a financing; a change in the registered agent or office; a change in the general partners or managers named of record; the addition or removal of optional provisions such as liability limitation, indemnification, pre-emptive rights, or a supermajority vote; an election into or out of a statutory status such as close-corporation, benefit-corporation, or limited-liability-limited-partnership status; and a restatement that consolidates all prior amendments into one document. Working from the client’s answers to a structured intake and from the entity’s existing records, we draft, assemble, and organize the approvals, the certificate of amendment or restated formation document, the conforming amendments to the governing documents, and the follow-on filings, so the amendment is adopted by the vote the law requires, filed in the form the state accepts, and reflected consistently throughout the entity’s records. State filing fees, registered-agent fees, publication costs, and other third-party charges are not included in the flat fee and are the sole responsibility of the client.

Scope of work includes:

  • Amendment planning and intake — a structured intake and written summary confirming the entity’s type, state, and good standing; the change to be made and the reason for it; whether the change belongs in the formation document, the governing agreement, or both (many changes clients describe as “amending the articles” are properly made in the operating agreement, partnership agreement, or bylaws, and some require both); whether an amendment or a full restatement better serves the entity given the number of prior amendments; the approval the statute and the governing documents require; the consequences for existing owners, classes of interest, lenders, and counterparties; and any licensing-board, lender, or investor consent the change requires.

  • Review of existing records — review of the current formation document and all prior amendments, the governing agreement and its amendment provisions and any supermajority, class-vote, or consent requirements, the ownership ledger and capitalization table, prior consents, the foreign registrations in other states, and, for a name change, the assumed-name filings, trademark registrations, and contracts that reference the entity’s name, with a written summary of the approvals required and the follow-on filings the amendment will trigger.

  • Name availability (for a name change) — the name-availability search and reservation filing in the home state and in each state where the entity is registered, confirmation that the new name satisfies the designator requirements for the entity’s type and any licensing-board naming rules, and a preliminary trademark-conflict screen.

  • Owner and management approvals — the resolutions of the board, managers, or general partners approving the amendment and, where required, recommending it to the owners; the notice of the meeting or the solicitation of written consents; the owner approval by the vote the statute, the formation document, and the governing agreement require, including separate class votes where a class is affected differently and the member vote a cooperative statute requires; the preferred-holder or investor consents required by protective provisions; the dissenters’ or appraisal-rights procedures where the state attaches them to the particular amendment; and the officer’s or partner’s certificate confirming the approval.

  • Certificate of amendment or restated formation document — preparation of the certificate of amendment (or articles of amendment, amendment to certificate of limited partnership, amendment to statement of qualification, or amended statement of partnership authority) in the form the state requires for the entity’s type, setting out the text of the amended provisions, the date and manner of approval, and the required signatures; or the restated or amended and restated formation document integrating all prior amendments with the new change, with the restatement certificate the state requires; ready for filing with the secretary of state or submitted on the client’s behalf with the client paying the state fee directly.

  • Conforming amendments to governing documents — the amendment to the operating agreement, partnership agreement, bylaws, shareholders’ agreement, or cooperative bylaws that the change requires or that the owners elect to make at the same time, drafted to keep the formation document and the governing agreement consistent, together with the updated ownership ledger, capitalization table, and certificates where a class of interest or the authorized capital changes, and the securities-law exemption documentation for any issuance the amendment enables.

  • Follow-on filings — the amended foreign registrations in each state where the entity is registered to do business (most states require notice of a name change, a change in general partners or managers of record, or a change in the home-state formation document); the registered-agent change filings where the agent or office changes; the publication notices for states that require publication of an amendment; the licensing-board notification for a professional entity; the assumed-name filings and trademark-registration updates for a name change; and the beneficial ownership information update under the Corporate Transparency Act where the entity is subject to it under the rules in effect at the time and the amendment changes reported information.

  • Third-party notifications (for a name change or change of principals) — the notices and update forms for the IRS and state tax agencies, banks and merchant accounts, lenders, landlords, insurers, licensing and permitting agencies, intellectual-property registries, domain registrars, vendors, and customers, with the form of legal-name-change letter and the schedule of accounts to be updated.

  • Post-amendment records and compliance — the updated record book with the filed amendment and the consents, the compliance calendar entries the amendment creates (renewed registrations, licensing-board confirmations, and the next annual report reflecting the change), and a one-page summary of what changed, what was filed where, and what remains for the client to update.

Deliverable: a complete, indexed amendment file (electronic and hard copy) containing the approvals and consents, the filed or file-ready certificate of amendment or restated formation document, the conforming amendments to the governing documents, the updated ledger and capitalization table, the follow-on filings in each state, the third-party notification package, and the updated compliance calendar, with a filing checklist and signature-ready versions of each document for execution by the authorized persons.
