Syndicate Legal Advisory Services prepares the complete set of documents required to form a limited liability partnership in any U.S. state — a general partnership that registers under the state’s LLP statute to shield its partners from personal liability for the partnership’s obligations — and to establish its governance, economics, and compliance framework from the first day of operation. In some states, including California, the LLP form is reserved to licensed professions such as law, accounting, architecture, engineering, and land surveying; in others, including Delaware, New York, and Texas, any partnership may register. Working from the client’s answers to a structured intake, we draft, assemble, and organize every registration document, a custom partnership agreement tailored to the partners’ economic arrangement and management structure, the licensing-board registration and insurance or security documentation where the profession requires them, the organizational consents, and the post-formation compliance calendar, so the partnership is registered correctly, governed by an agreement that reflects how its partners intend to share capital, profits, control, and risk, and positioned to keep the liability shield in force. State filing fees, licensing-board fees, registered-agent fees, publication costs, and other third-party charges are not included in the flat fee and are the sole responsibility of the client.

Scope of work includes:

  • Formation planning and intake — a structured intake and written summary confirming the state of registration and whether its LLP statute is open to the client’s business or restricted to listed professions, the scope of the liability shield the state provides (a full shield covering all partnership obligations or a partial shield limited to the negligence and misconduct of other partners), the partnership name and required designator, the registered agent and office, the partners and their capital contributions, the business purpose, the economic arrangement — contributions, allocations, draws, and distributions — the management and voting structure, the tax classification and partnership representative, the professional-liability insurance or security the statute requires, and whether the partnership will practice or operate in other states and how those states treat a foreign LLP.

  • Underlying partnership formation — where the partners have not already formed a general partnership, the documentation establishing it as the entity that registers (the partnership agreement itself serves this purpose in most states), and, where an existing general partnership is converting to LLP status, the partner vote the statute or the existing agreement requires and the consent documenting it.

  • Statement or registration of qualification — preparation of the statement of qualification, registration of limited liability partnership, or the state’s equivalent (such as California’s Form LLP-1) in the form the state requires, including the name, the registered agent and office, the principal office, the statement of the business or profession, the number of partners where required, the professional-liability confirmation where required, and the signature of the authorized partners, ready for filing with the secretary of state or submitted on the client’s behalf with the client paying the state fee directly.

  • Custom partnership agreement — drafting of a partnership agreement written for the partnership’s specific arrangement rather than adapted from a generic form, addressing: the partners, their classes (equity and non-equity or income partners where used), and their capital contributions and capital accounts; the allocation of profits and losses and the draw and distribution mechanics, including the compensation formula for a professional practice; management authority, the managing or executive partner or committee, voting thresholds, and the matters requiring partner approval; the admission of new partners and the partnership track; the partners’ duties, the restrictions on a partner’s authority to bind the partnership, and the confirmation that the LLP registration, not the agreement, is the source of the liability shield; indemnification and the allocation of liability for a partner’s own professional negligence, which the shield does not cover; the withdrawal, retirement, expulsion, death, or disability of a partner, with the valuation and payout terms and the treatment of work in process and receivables; transfer restrictions; confidentiality, non-solicitation of clients and staff, and, where enforceable for the profession, non-competition covenants; dissolution and winding up; tax matters, including the partnership representative designation; and dispute resolution and governing law.

  • Licensing-board registration and insurance documentation — for a professional LLP, the certificate of registration or approval the licensing board requires before the partnership may practice (such as a law LLP registration with the state bar or an accountancy LLP registration with the board of accountancy), the partner licensure certifications, and the certificate of professional-liability insurance, the confirmation of net worth, or the alternative security the statute requires as a condition of the liability shield, with the renewal calendar.

  • Organizational consents and initial records — the written consent of the partners adopting the partnership agreement, confirming the partners and their contributions, electing the managing partner or committee, authorizing the bank and trust accounts (including client trust accounts where the profession requires them), the tax elections, the LLP registration, and the licensing-board registration, and ratifying the formation; the partner ledger; and the partnership record book index.

  • Tax identification and elections — the application for the federal employer identification number (or the confirmation of the existing partnership’s number on conversion), the confirmation of partnership classification, the elections the partnership will make, and the state tax, employer, and professional-privilege registrations the partnership’s activities require.

  • State and federal compliance filings — the initial report where required, the publication notices for states that require them, the beneficial ownership information report under the Corporate Transparency Act where the partnership is subject to it under the rules in effect at formation, and the foreign LLP registration applications and registered-agent appointments for other states in which the partnership will practice or operate.

Deliverable: a complete, indexed partnership record book (electronic and hard copy) containing the filed or file-ready statement of qualification, the executed partnership agreement, the licensing-board registration and insurance documentation where applicable, the organizational consents, the partner ledger, the tax identification and election documents, the compliance filings, and the compliance calendar, with a filing checklist and signature-ready versions of each document for execution by the partners.
