Syndicate Legal Advisory Services prepares the complete set of documents required to register an existing business entity — a limited liability company, limited partnership, limited liability partnership, general partnership, cooperative, or corporation — to do business in a state other than its home state, and to establish the registrations and compliance calendar the entity will need there. We draft, assemble, and organize the registration application and its supporting documents in the form the new state requires for the entity’s type, the registered-agent appointment, the name-conflict resolution where needed, the owner or board authorization, the state tax and employer registrations, and the ongoing compliance calendar for the new state, so the entity is authorized to do business there, protected from the penalties that attach to unregistered activity, and positioned to stay in good standing in both states. State filing fees, certificate-of-good-standing and certified-copy fees, registered-agent fees, publication costs, and other third-party charges are not included in the flat fee and are the sole responsibility of the client.

Scope of work includes:

  • Registration planning and intake — a structured intake and written summary confirming the entity’s type, home state, and current good standing; the state or states in which registration is sought; the activities the entity conducts or will conduct there (employees, offices, property, sales, contracts, or a project) measured against each state’s “transacting business” standard and its statutory exemptions; the date the activities began or will begin, and therefore whether prior unregistered activity must be addressed; the registered agent to be appointed; the state tax, employer, licensing, and local registrations the activities will trigger; and, for entity types the new state treats differently from the home state — a professional LLP or cooperative whose form the new state may not recognize, or a general partnership that registers only by assumed name or statement of authority — the route the new state provides. Where the activities fall in the gray area, the summary sets out the considerations so the client can decide, since the consequences of unregistered activity — penalties, back fees, and the inability to maintain a lawsuit in the state’s courts until registered — fall on the entity.

  • Home-state documents — the request for and coordination of the certificate of good standing or existence within the validity period the new state requires, the certified copy of the formation document and amendments where required, and confirmation that the entity’s home-state records (registered agent, annual report, franchise tax, and any licensing-board or LLP registration) are current, since a lapse in the home state will block the foreign registration.

  • Name availability and conflict resolution — the name-availability search in the new state and, where the entity’s name is unavailable or does not satisfy the state’s designator requirements for its type, the resolution by the method the state permits: a resolution adopting an alternate or fictitious name for use in that state, the assumed-name filing, or the consent of the entity holding the conflicting name, with the alternate name carried through to the application and the registered-agent appointment.

  • Application for registration — preparation of the application in the form the new state requires for the entity’s type — the application for certificate of authority or registration for a foreign corporation, LLC, or cooperative; the application for registration of a foreign limited partnership; the statement of foreign qualification for a foreign LLP; or the assumed-name filing and, where wanted, the statement of partnership authority for a general partnership — including the home-state information, the principal office, the registered agent and office in the new state, the names and addresses of the officers, directors, managers, members, or general partners the state requires, the nature of the business, the date the entity began or will begin transacting business in the state, and the signature of an authorized person; ready for filing with the secretary of state or submitted on the client’s behalf with the client paying the state fee directly.

  • Registered agent appointment — the appointment of the registered agent in the new state and the agent’s consent where required, with the coordination of a commercial registered-agent engagement where the entity has no eligible individual or office in the state.

  • Owner or board authorization — the written consent of the members, managers, partners, board, or cooperative board, as the entity’s form requires, authorizing the foreign registration, the registered-agent appointment, the alternate name where used, the state tax registrations, and the designation of the signatory, with confirmation that the governing agreement does not restrict the activity or require a different approval.

  • Professional and licensing-board registrations — for a professional corporation, professional LLC, or professional LLP, the registration or approval the new state’s licensing board requires before the entity may practice there, with the licensure certifications and the insurance or security confirmation the new state requires.

  • Publication and local filings — the publication notices and affidavits for states that require newspaper publication of a foreign registration, and the county or municipal registrations and business licenses the entity’s activities in the state require.

  • State tax and employer registrations — the registrations the entity’s activities trigger in the new state: the franchise, income, or gross-receipts tax account (including the composite or withholding requirements that apply to a pass-through entity’s nonresident owners), the sales and use tax permit, the employer withholding and unemployment insurance accounts, and the workers’ compensation coverage confirmation, with a nexus summary explaining which registrations apply and why.

  • Prior unregistered activity — where the entity transacted business before registering, the calculation of the back fees, penalties, and taxes the state assesses, the voluntary-disclosure or penalty-abatement request where offered, and the documentation of the registration date.

  • Post-registration compliance toolkit — a compliance calendar and template set for the entity’s recurring obligations in the new state: the annual or biennial report and franchise tax, the registered-agent renewal, the state tax filings, the publication and licensing-board renewals where required, the amendment filings the state requires when the entity’s name, home-state status, principals, or registered agent changes, and the withdrawal procedure for when the entity ceases to do business in the state, with a one-page summary of the obligations the entity now carries in each state.

Deliverable: a complete, indexed registration file (electronic and hard copy) containing the filed or file-ready application for registration, the home-state certificates, the registered-agent appointment and consent, the alternate-name resolution and filing where used, the owner or board authorization, the licensing-board registration where applicable, the publication and local filings, the state tax and employer registrations, and the compliance calendar, with a filing checklist and signature-ready versions of each document for execution by the authorized person.
