Corporation Formation (C Corporation) — Complete Incorporation Document Preparation with Custom Bylaws

Syndicate Legal Advisory Services prepares the complete set of documents required to incorporate a business corporation in any U.S. state, to organize it, and to establish its governance, capitalization, and compliance framework from the first day of operation. Working from the client’s answers to a structured intake, we draft, assemble, and organize every incorporation document, custom bylaws tailored to the corporation’s ownership and board structure, the organizational resolutions and stock issuance documents, and the post-incorporation compliance calendar, so the corporation is formed correctly, governed by documents that reflect how its shareholders and directors intend to operate, and positioned to stay in good standing and to support future financing. State filing fees, registered-agent fees, publication costs, and other third-party charges are not included in the flat fee and are the sole responsibility of the client.

Scope of work includes:

  • Incorporation planning and intake — a structured intake and written summary confirming the state of incorporation and the reasons for it (including the considerations that lead many companies to Delaware or to their home state), the corporate name and its availability and required designators, the registered agent and office, the authorized capital structure (the number of authorized shares, par value, and whether preferred stock will be authorized as “blank check” preferred for future financings), the initial shareholders and their contributions and share allocations, the initial board of directors and officers, the fiscal year, whether the corporation will operate in other states, any industry licensing or professional-corporation requirements, and whether the corporation anticipates venture or angel financing, an employee equity plan, or an eventual public offering, each of which shapes the documents.

  • Name reservation and availability — the name-availability search in the state of incorporation and the name-reservation filing where the client wants the name held before incorporation, together with a preliminary trademark-conflict screen and the assumed-name or DBA filing where the corporation will operate under a trade name.

  • Articles or certificate of incorporation — preparation of the articles of incorporation (or certificate of incorporation, in the state’s terminology) in the form the state requires, including the authorized capital and the terms of any preferred stock, the registered agent, the incorporator, and the optional provisions appropriate to the corporation: limitation of director liability to the extent the state permits, indemnification, the election of a staggered board or cumulative voting where wanted, pre-emptive rights, the opt-out from or into the state’s anti-takeover statute, exclusive-forum provisions, and the provisions a future investor or exchange listing will expect, ready for filing with the secretary of state or, where the client elects, submission on the client’s behalf with the client paying the state fee directly.

  • Custom bylaws — drafting of bylaws written for the corporation’s specific structure rather than adapted from a generic form, addressing: the offices and the corporate seal; shareholder meetings, notice, quorum, voting, proxies, action by written consent, and the record date; the board of directors — its size and the method for changing it, qualifications, election, terms, vacancies, removal, meetings and notice, quorum and voting, action by written consent, committees and their authority, and compensation; the officers — their titles, election, terms, removal, and the authority and duties of each; stock — certificated or uncertificated shares, the stock ledger, transfers, lost certificates, and the transfer restrictions and legends the corporation will apply; indemnification and advancement of expenses for directors and officers and the related insurance; conflict-of-interest procedures for interested-director transactions; the fiscal year, dividends, and corporate records and inspection rights; emergency bylaws; and the amendment procedure for the bylaws by the board and by the shareholders.

  • Shareholder agreement (where there is more than one shareholder) — drafting of a shareholders’ agreement or, for a closely held corporation, a buy-sell agreement addressing transfer restrictions and rights of first refusal, buy-sell provisions on death, disability, divorce, bankruptcy, withdrawal, or termination of employment with the valuation method and payment terms, drag-along and tag-along rights, board composition and voting agreements, deadlock resolution for two-shareholder corporations, pre-emptive rights, confidentiality, non-competition, and non-solicitation covenants where wanted, and dispute resolution; or, for a founder-only corporation anticipating venture financing, the founder stock purchase agreements with vesting, repurchase rights, and the Section 83(b) election materials.

  • Organizational resolutions and initial records — the action of the incorporator appointing the initial directors and adopting the bylaws, and the organizational written consent of the board in lieu of a meeting: adopting the bylaws, electing the officers, authorizing the issuance of the initial shares and accepting the consideration, adopting the form of stock certificate, authorizing the bank account and the tax elections, adopting the fiscal year, approving the founder agreements and any equity plan, authorizing the foreign qualifications, and ratifying the incorporation; the stock ledger; the share certificates or the uncertificated-share notices; the stock subscription or purchase agreements and the consideration receipts; and the corporate record book index.

  • Capitalization and equity documentation — the capitalization table reflecting the initial issuance and any reserved shares, the securities-law analysis and the exemption documentation for the initial issuance (and the state notice filing where required), the equity incentive plan and form award agreements where the client wants a plan adopted at formation, and the Section 1202 qualified-small-business-stock documentation where the corporation may qualify.

  • Post-incorporation compliance toolkit — a compliance calendar and template set for the corporation’s recurring obligations: the annual shareholder meeting or written consent and the annual board consent, the annual or biennial report and franchise tax (including the Delaware franchise-tax calculation methods where applicable), the registered-agent renewal, the state tax filings, the beneficial ownership information updates where applicable, the stock ledger maintenance and the securities-law filings for later issuances, and the bylaw and charter amendment procedures, together with a one-page summary of the corporate formalities directors and officers should observe to preserve limited liability.

Deliverable: a complete, indexed corporate record book (electronic and hard copy) containing the filed or file-ready articles, the executed bylaws, the shareholder or founder agreements, the incorporator’s action and the organizational consent, the stock ledger and share certificates, the subscription agreements and capitalization table, the tax identification and election documents, the compliance filings, and the compliance calendar, with a filing checklist and signature-ready versions of each document for execution by the incorporator, directors, officers, and shareholders.
