FINRA Rule 3130 requires a member firm's Chief Executive Officer (CEO) to certify annually that the firm has established processes to maintain, review, test, and modify written compliance policies and supervisory procedures reasonably designed to achieve compliance with applicable securities laws and rules.
Syndicate Legal Advisory Services provides nationwide legal document preparation services for broker-dealer firms required to prepare the annual CEO Certification of Compliance under FINRA Rule 3130. We prepare the certification document and related supporting materials based on the firm information, process descriptions, and specific instructions you provide.
Documents Commonly Prepared
We prepare a full range of documents associated with the Rule 3130 CEO Certification, including but not limited to:
- CEO Certification: Completion of the annual certification required by FINRA Rule 3130, using the prescribed language affirming that the firm has processes to establish, maintain, review, test, and modify written compliance policies and written supervisory procedures reasonably designed to achieve compliance with applicable FINRA rules, MSRB rules, and federal securities laws and regulations, and that the CEO has conducted one or more meetings with the Chief Compliance Officer(s) in the preceding 12 months, based on the information you supply.
- Supporting Report Materials: Formatting or organization of the report evidencing the firm’s processes (reviewed by the CEO, CCO, and other officers as applicable), based on content and descriptions you provide.
- Related Supporting Materials: Organization of exhibits or attachments incorporating client-supplied process descriptions, meeting notes, or other materials referenced in connection with the certification.
- Related Forms or Notices: Assistance with any related identification of the Chief Compliance Officer on Schedule A of Form BD or other supporting documents, completed from client-supplied information as directed.
Documents are prepared for the firm’s internal use, execution by the CEO (or equivalent officer), and submission of the associated report to the board of directors and audit committee (or equivalent) as required by Rule 3130 (subject to the information you provide). The certification is required annually (generally by the anniversary of the prior certification, or within 12 months of becoming a member for new firms); clients remain fully responsible for the accuracy of the underlying processes and report, proper execution, timely submission of the report to the board and audit committee (or equivalent), and compliance with all FINRA Rule 3130 requirements.
